SUPPLIER REQUEST FOR INCREASE OF THE FRAMEWORK PRICES. The Supplier may request an increase in all or part of the Framework Prices in accordance with the remaining provisions of this paragraph 56 subject always to: the Supplier's request being submitted in writing at least three (3) Months before the effective date for the proposed increase in the relevant Framework Prices ("Review Adjustment Date") which shall be subject to paragraph 56.2; the Approval of the Authority which shall be granted in the Authority’s sole discretion. The earliest Review Adjustment Date will be the first (1st) Working Day following the expiry of the Initial Framework Period. During the Initial Framework Period the Contract Charges shall remain fixed (and no review under this paragraph 56 is permitted). Thereafter any subsequent increase to any of the Framework Prices in accordance with this paragraph 56 shall not occur before the anniversary of the previous Review Adjustment Date during the Framework Period. To make a request for an increase in some or all of the Framework Prices in accordance with this paragraph 56, the Supplier shall provide the Authority with:

To make a request for an increase in some or all of the Framework Prices in accordance with this paragraph Error: Reference source not found, the Supplier shall provide the Authority with: a list of the Framework Prices it wishes to review; for each of the Framework Prices under review, written evidence of the justification for the requested increase including: a breakdown of the profit and cost components that comprise the relevant Framework Price; details of the movement in the different identified cost components of the relevant Framework Price; reasons for the movement in the different identified cost components of the relevant Framework Price; evidence that the Supplier has attempted to mitigate against the increase in the relevant cost components; and evidence that the Supplier’s profit component of the relevant Framework Price is no greater than that applying to Framework Prices using the same pricing mechanism as at the Framework Commencement Date.

  • Request for Increase Provided there exists no Default, upon notice to the Administrative Agent (which shall promptly notify the Lenders), the Borrower may from time to time, request an increase in the Aggregate Commitments by an amount (for all such requests) not exceeding $250,000,000; provided that (i) any such request for an increase shall be in a minimum amount of $25,000,000, and (ii) the Borrower may make a maximum of three such requests. At the time of sending such notice, the Borrower (in consultation with the Administrative Agent) shall specify the time period within which each Lender is requested to respond (which shall in no event be less than ten Business Days from the date of delivery of such notice to the Lenders).

  • Requesting Price Increase/Required Documentation Contractor must submit a written notification at least thirty (30) calendar days prior to the requested effective date of the change, setting the amount of the increase, along with an itemized list of any increased prices, showing the Contractor’s current price, revised price, the actual dollar difference and the percentage of the price increase by line item. Price change requests must include H-GAC Forms D Offered Item Pricing and E Options Pricing, or the documentation used to submit pricing in the original Response and be supported with substantive documentation (e.g. manufacturer's price increase notices, copies of invoices from suppliers, etc.) clearly showing that Contractor's actual costs have increased per the applicable line item bid. The Producer Price Index (PPI) may be used as partial justification, subject to approval by H-GAC, but no price increase based solely on an increase in the PPI will be allowed. This documentation should be submitted in Excel format to facilitate analysis and updating of the website. The letter and documentation must be sent to the Bids and Specifications manager, Xxxxxxx Xxxxxx, at Xxxxxxx.Xxxxxx@x-xxx.xxx Review/Approval of Requests If H-GAC approves the price increase, Contractor will be notified in writing; no price increase will be effective until Contractor receives this notice. If H-GAC does not approve Contractor’s price increase, Contractor may terminate its performance upon sixty (60) days advance written notice to H-GAC, however Contractor must fulfill any outstanding Purchase Orders. Termination of performance is Contractor’s only remedy if H-GAC does not approve the price increase. H-GAC reserves the right to accept or reject any price change request.

  • Term SOFR Conforming Changes In connection with the use or administration of Term SOFR, the Administrative Agent will have the right to make Conforming Changes from time to time and, notwithstanding anything to the contrary herein or in any other Loan Document, any amendments implementing such Conforming Changes will become effective without any further action or consent of any other party to this Agreement or any other Loan Document. The Administrative Agent will promptly notify the Borrower and the Lenders of the effectiveness of any Conforming Changes in connection with the use or administration of Term SOFR.
