Request for Increase definition

Request for Increase means the notice to be delivered to the Trustee and each VBC Holder in connection with any Increase pursuant to Section 6.1 hereof, substantially in the form attached as Exhibit E hereto.
Request for Increase through and including Section 3.4.4 "Buying and Selling Lenders" shall be deleted in its entirety and replaced with the following: "Intentionally Deleted".
Request for Increase. Subject to the provisions of Section 2.7, on the terms and subject to the conditions set forth in this Section 2.17, Borrower shall have (A) a one time right prior to the Original Maturity Date and (B) a one time right during each of the First Extension Period and the Second Extension Period, by written notice to Administrative Agent, to request an increase in the Maximum Commitment Amount by (i) first permitting any Lender to increase its Commitment (and accordingly increase the Maximum Commitment Amount by such amount), or (ii) thereafter inviting any Eligible Assignee that has previously been approved by Administrative Agent in writing to become a Lender under this Agreement and to provide a commitment to lend hereunder (and accordingly increase the Maximum Commitment Amount by such amount); provided, however, that in no event shall such actions cause the Maximum Commitment Amount to increase above $600,000,000."

Examples of Request for Increase in a sentence

  • Each Revolving Credit Lender approving an increase in its applicable commitment by the requested amount shall deliver its written consent thereto no later than ten (10) Business Days of the Agent’s informing such Revolving Credit Lender of the Request for Increase; if the Agent shall not have received a written consent from a Revolving Credit Lender within such time period, such Revolving Credit Lender shall be deemed to have elected not to increase its applicable commitment.

  • Each Request for Increase shall state the time period during the upcoming three-month period for the Increase to be in place (such period of time for such increase, the “Increase Period”).

  • The Request for Increase must be accompanied by a certificate of the Borrower executed by the chief financial officer or other officer or representative of the Borrower, in a form reasonably acceptable to Lender, that no Event of Default has occurred and is continuing and that all representations and warranties in the Loan Documents are true and correct in all material respects on and as of the date of such Request for Increase.

  • Upon Borrower's delivery of any Request for Increase, Lender will have the right, but not the obligation, to increase the Maximum Revolving Principal Amount.

  • If Borrower desires an increase in the Maximum Revolving Principal Amount, it shall first deliver a written request ("Request for Increase") to Lender specifying the proposed effective date of such increase.

  • Lender shall notify Borrower of its determination within 10 days after receipt of the Request for Increase.

  • Such Request for Increase shall be for an amount no less than $5,000,000 (the requested amount of the increase shall be referred to herein as, the "Requested Increased Commitment Amount").

  • Each Lender shall advise the Agent as to whether or not it agrees to such Request for Increase, and any terms and conditions to which its approval is subject, not later than twenty (20) Banking Days after the Increase Notification Date; provided that in the event any Lender does not advise the Agent within such twenty (20) Banking Day period, such Lender shall be deemed to have elected not to agree to such Request for Increase.

  • Upon satisfaction of the conditions precedent set forth in this Section 2.10(b), the Bank shall execute and deliver a Notice of Increase in Stated Amount to the Issuing and Paying Agent with an Increase Date within five (5) days following receipt by the Bank Agent of a Request for Increase in the Stated Amount, and upon such delivery, the Stated Amount of the Letter of Credit shall be increased on the Increase Date to the amount set forth in such Notice of Increase in Stated Amount.

Related to Request for Increase

  • Request for Loan means a written request for a Loan substantially in the form of Exhibit E, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be included therein.

  • Request for Information (RFI) means a document issued to potential suppliers to gather general supplier, service or product information. It is a procurement procedure whereby suppliers are provided with a general or preliminary description of a problem or need and are requested to provide information or advice about how to better define the problem or need, or alternative solutions. A response to an RFI must not pre-qualify a potential supplier and must not influence their chances of being the successful proponent on any subsequent opportunity.

  • Request for Information shall have the meaning set out in FOIA or the Environmental Information Regulations as relevant (where the meaning set out for the term “request” shall apply).

  • Commitment Increase Notice has the meaning assigned to such term in Section 2.19.

  • Request for Advance means a Request for Revolving Credit Advance or a Request for Swing Line Advance, as the context may indicate or otherwise require.
