Sponsor License. Notwithstanding the foregoing, in the event the licensee of the Film or Collection is a sponsor of 48HFP or the Project (“Sponsor”) as determined by 48HFP, 48HFP will retain 100% of all proceeds, if any, from any such license. 48HFP’s net proceeds for the purposes of this paragraph 6 shall be defined, computed, paid and accounted for pursuant to 48HFP’s standard definition, which shall include allowances for the deduction from gross receipts 48HFP’s customary deductions including, without limitation, distribution fees, distribution expenses, and overhead. 48HFP shall make semi-annual (i.e., twice per year) reports to Team Leader, provided, however, that 48HFP need not issue a report if Team Leader has not accumulated revenue to report. 48HFP shall issue checks to Team Leader on a semi-annual basis so long as total revenue for a Team Leader has reached a minimum of $25.
Sponsor License. During the term of the Agreement, as set forth in Section 4 hereof, Sponsor grants to DSDP a non-transferable, non-exclusive royalty free limited license (the “Sponsor License”) to use and display Sponsor’s name, logo, and trademarks (collectively the “Sponsor IP”): (i) for the purpose of identifying and promoting Sponsor as a sponsor of DSDP and/or the Event; (ii) in DSDP’s marketing and promotional materials (including without limitation sponsorship lists, Event signage, and Event programs); and (iii) in connection with DSDP’s provision of the benefits set forth in the Agreement. Notwithstanding the term of the Sponsor License set forth above, after the termination of such license, DSDP is authorized by Sponsor to continue the use, publication, distribution, or other display of any marketing materials, promotional materials, advertisements, pamphlets, lists, or other materials which contain or incorporate Sponsor IP after the termination of such license to the extent the foregoing were created, published, or produced prior to the termination or expiration of the Sponsor License. Except for the license granted pursuant to this Section 1(b), Sponsor shall solely hold and own all right, ownership, interest, and title in and to the Sponsor IP.

Sponsor License. Notwithstanding the foregoing, in the event, the licensee of the script/story is a sponsor of IFP or the Project (“Sponsor”) as determined by IFP, Team Leader will retain no proceeds, if any, from any such license.
Sponsor License. Sponsor grants CLOC a non- transferrable, worldwide, non-assignable, royalty-free, license to use any of Sponsor’s trademarks, logos, service marks, or trade names (“Sponsor Marks”) with respect to: (a) CLOC’s advertising, promotion, execution and memorialization of events, activities, or other opportunities associated with the sponsorship; (b) CLOC’s fulfillment of the Sponsorship Benefits, as defined in the Agreement; and (c) the use by, or on behalf of CLOC to produce any brochures, pamphlets, presentations, emails, website content, or other materials related to the Sponsorship Benefits or to CLOC that may be distributed by CLOC. Other than as set forth above, Sponsor retains all rights in and to the Sponsor Marks.

(7) In the event that a third-party wishes to purchase rights to the film beyond the above End Date, the 48HFP shall notify the Team Leader and the Team Leader and 48HFP shall negotiate an agreement. Notwithstanding the foregoing, Team Leader shall not at any time (whether before or after the End Date) assign or license any rights in and/or to the Film to any third party without the prior written permission of 48HFP, and 48HFP shall not assign or license any rights in and/or to the Film to any third party which would preclude Team Leader from exercising its rights in and/or to the Film as set forth above at Paragraph 5(a) and/or in this paragraph (as applicable), without the written permission of Team Leader.
Sponsor License. In the event the licensee of the Film or Collection is a sponsor of 54FilmFest Middle TN ("Sponsor") as determined by 54FilmFest Middle TN, 54FilmFest Middle TN will retain 100% of all proceeds, if any, from any such license. (b)

Sponsor License. Sponsor hereby grants the Reds a limited, non-exclusive, non-transferable, non-sub-licensable, royalty-free license and right to use Sponsor Marks (as defined in Addendum A) solely and exclusively for the Term and for the purposes set forth in this Agreement. The Reds use of Sponsor Marks shall be subject to the terms and conditions set forth in this Agreement, including, without limitation, the restrictions set forth in Section 7 of Addendum A attached hereto.
