Seller Code of Conduct. 20.1 XxXxxxx expects Seller to adopt a code of ethical business conduct suitable to its business, and conform to such code. The code should establish that Seller shall comply with all pertinent laws and regulations, and should address Seller’s policies regarding workplace health and safety, labor standards, protection of the environment and resources, product safety and quality and anticorruption.

At ITE, we expect you to adhere to the code of conduct principles outlined below. Seller Code of Conduct. At all times during the term of this Agreement, Seller will comply with the ACWN Seller Code of Conduct (“Code of Conduct”), as amended by ACWN from time-to-time, available from ACWN’s public website at xxxxx://xxx.xxxxx.xxx/supplier-responsibility/. Notwithstanding anything to the contrary herein, Seller will: (i) allow ACWN and a third party representative, retained by or representing ACWN (collectively, the “Auditor”), to assess Seller’s compliance with the Code of Conduct by inspecting Seller’s facilities and/or reviewing Seller’s practices, policies, and relevant records without notice, and/or by interviewing Seller’s personnel without monitoring, solely to verify Seller’s compliance with the Code of Conduct (collectively, an “Assessment”); (ii) promptly provide the Auditor with access to any relevant facilities and personnel without disruption or interference, in connection with any Assessment; (iii) promptly provide complete and accurate information and documentation in response to the Auditor’s requests, (iv) allow the Auditor to review and assess working hours and conditions, remuneration and benefits, personnel practices, production, dormitory, and dining facilities, business conduct, and health, safety, and environmental practices, as applicable, in connection with any Assessment; (v) not request or encourage, directly or indirectly, any Seller personnel to furnish false or incomplete information in connection with any Assessment; (vi) not take retaliatory action against any Seller personnel interviewed during an Assessment; and

Seller Code of Conduct. Seller has and shall comply with a code of conduct or policy statement regarding business conduct, ethics and compliance that satisfies, at a minimum, the principles and expectations set forth in the Regal Rexnord Corporation Supplier Code of Conduct available at Buyer’s Supplier Site (xxxx://xxx.xxxxxxxxxxxx.xxx/Suppliers/) (“Supplier Code of Conduct”). Seller shall have management systems, tools and processes in place that (i) ensure compliance with applicable laws and regulations and the requirements set forth in the Supplier Code of Conduct; (ii) promote an awareness of and commitment to ethical business practices, including, without limitation, the expectations set forth in the Supplier Code of Conduct; (iii) facilitate the timely discovery, investigation (including cooperation with any Buyer initiated investigation involving Seller), disclosure (to Buyer and others as appropriate) and implementation of corrective actions for violations of law, regulations, this Agreement, an Order, or the expectations set forth in the Supplier Code of Conduct; and (iv) provide training to its employees on compliance requirements, including the expectations set forth in the Supplier Code of Conduct.
Seller Code of Conduct. 20.1 TSB MR expects Seller to adopt and conform its conduct to a statement or code of ethical business conduct suitable to its business, and if this Agreement relates to a prime contract with or a subcontract for the U.S. government, Seller represents that it has adopted and conforms to such a statement or code. At a minimum, the statement or code must establish that Seller shall comply with all pertinent laws and regulations, and should address Seller’s policies regarding workplace health and safety, labor standards as required by local law or regulation, protection of the environment and resources, product safety and quality and anti-corruption.
