Third Party Representative definition

Third Party Representative means any individual, firm or corporation engaged directly or indirectly by ESCO in performance of any obligation pursuant to this Addendum, including any individual, firm or corporation that is an affiliate, agent, or assigned of ESCO.
Third Party Representative means third-parties engaged by the Company or by any other entity that forms part of the Group (1) to negotiate purchases or sales on behalf of the Company or any other entity that forms part of the Group, (2) to secure governmental licenses or permits directly related to the business of the Group or (3) to provide lobbying activities on behalf of the Company or any other entity that forms part of the Group. In addition, any business partners, including any joint venture partners, agents, contractors, distributors, and consultants shall be deemed to be a Third-Party Representative. For purposes of this Anti-Corruption Policy and Anti-Corruption Compliance Procedures, resellers of Group products that do not negotiate purchases or sales on behalf of the Group or receive commission payments for sales of Group products, and instead simply purchase products from the Group for resale, shall not be deemed Third-Party Representatives.
