Sales Volume Allowance. AFD will give up a portion of its remuneration in order to provide an extra sales volume allowance of .25% of Purchase Payments to be paid to dealers maintaining a sales volume of at least $5,000,000 in each calendar year. Lincoln National, upon notification from AFD, will deduct enough from AFD's remuneration to pay this additional allowance to that dealer on all sales for that calendar year. Payments will be made to dealers every quarter after notification from AFD is received by Lincoln National.

Sales Volume Allowance. Effective January 1, 1988, AFD will relinquish a portion of its remuneration in order to provide an additional sales volume allowance of .25% to be paid to dealers (except LNSC agents and brokers) attaining a sales volume of at least $2,000,000 in American Legacy Life premiums in each calendar year. For calendar year 1988, the allowance will be paid on all premiums received between April 1 and December 31 for years thereafter, the allowance will be paid on all premiums received during the calendar year. Lincoln National, upon notification from AFD that a broker-dealer has calendar year sales of $2,000,000 or more, will deduct from AFD's remuneration to pay that broker-dealer the allowance due. The initial payment will be included in the next possible check due following attainment of the $2,000,000 premium threshold for American Legacy Life sales. All subsequent payments will be made at the end of each quarter throughout the remainder of the calendar year. The broker-dealers must attain the $2,000,000 sales volume each calendar year to qualify for the additional allowance payments.

This compensation will be paid at the end of each calendar quarter and will be calculated as follows: At the end of each calendar quarter, Lincoln Life will calculate and pay for all Contracts which have been in force for 15 months or more as of the last day of the quarter, an amount equal to 0.0625% of an amount equal to the quarter ending account value less any deposits made in the previous 15 months. This continuing commission is not paid on Contracts that have been annuitized. With respect to each Contract year's purchase payments, an annual 0.40% persistency bonus will be paid to dealers on any "Increased Guaranteed Minimum Death Benefit" amount as described in the Contract. The first bonus will be payable at the time the guaranteed minimum death benefit is adjusted, which will be on the seventh Contract anniversary date, provided the Contract remains in effect. The amount of each bonus payment will remain constant during the period unless the "Increased Guaranteed Minimum Death Benefit" amount is reduced due to withdrawals. Withdrawals are applied to reduce the "Increased Guaranteed Minimum Death Benefit" on a first-in, first-out basis, so subsequent bonus payments would be reduced accordingly. The persistency bonus will not be paid on Contracts that have been annuitized. Sales Volume Allowance. Combined Sales Volume among American Legacy Products Annual Sales Volume Allowance ------------------------------------------------------------- At least $7,500,000 0.25% ------------------------------------------------------------- The Sales Volume Allowance will be paid to dealers maintaining a combined sales volume of the amount shown each calendar year based on new deposits to the American Legacy III, American Legacy III View, American Legacy III Plus, American Legacy III C-Share and American Legacy Shareholder's Advantage contracts. The Sales Volume Allowance is paid as additional cash flow commissions on all new deposits received during the calendar year (i.e. internal exchanges are excluded) to contracts qualifying for this allowance. Products currently qualifying for this allowance include the American Legacy III variable annuity series (American Legacy III, American Legacy III Plus, American Legacy III C-Share, and American Legacy View). Deposits to American Legacy Shareholder's Advantage and American Legacy Group products are not eligible for the Sales Volume Allowance.
