Second Contract Year. Buyer shall provide to Seller on or before November 1 of the calendar year preceding the year in which the second Contract Year begins, a preliminary monthly shipping schedule for the second Contract Year based on Buyer's then current projections for such period. The sum of the quantities reflected for all 12 months in such preliminary monthly shipping schedule for the second Contract Year shall not exceed the Annual Shipping Schedule Quantity for such Contract Year. At least 30 days prior to the beginning of each consecutive three month period of the second Contract Year, Buyer shall furnish to Seller in writing the final declaration of its quantity requirements for each of such three calendar months. In providing such final declaration, Buyer shall limit the quantity variation for each such month so that it does not exceed plus 25% or minus 50% of the quantity which is set out with respect to the same month in the shipping schedule which Buyer furnishes to Seller on or before November 1 pursuant to the first paragraph of this Section 6.3, and Buyer shall limit the quantity variation for each three month period so that it does not exceed plus 10% or minus 25% of the quantity which is set out with respect to the same three- month period in the shipping schedule which Buyer furnishes to Seller on or before November 1 pursuant to the first paragraph of this Section 6.3. The month identified in such final written declaration for the shipment of particular cargoes shall be considered to be the Month of Scheduled Shipment with respect to such cargoes. In addition, the quantity recited in each such final declaration shall constitute the quantity of Concentrates which Buyer is obligated to purchase and which Seller is obligated to deliver during such three month period. 6.4
Second Contract Year a. The additional payment owed for the second Contract Year shall total $10 million except as provided in Section 12.1, subject to adjustment as provided in Section
Second Contract Year. During the second (2nd) Contract Year of the Term, Shell shall pay to Codexis a research funding fee based on a FTE rate equal to Four Hundred Twenty Thousand United States Dollars ($420,000) per year for each of the FTEs assigned by Codexis to perform Codexis’ obligations under the Program during the second (2nd) Contract Year of the Term. Such FTE rate includes any and all associated overhead expenses, normal laboratory supplies and consumables expenses, and typical operational research expenses for the conduct of the Program. For the avoidance of doubt, except as expressly set forth in this Agreement or as set forth under the terms of the Series F Stock Purchase Agreement, no additional funds will be provided by Shell for the conduct of the Program, including, for example, funds for facilities, infrastructure, software, capital expenditures, equipment or any other type of expenditure.

Second Contract Year a. The Disposal Amount owed for the second Contract Year shall be no less than $10 million except as provided in Section 12.1. The Disposal Amount for the first and second Quarters of the second Contract Year shall total $5 million except as provided in Section 12.1. During the first and second Quarters of the second Contract Year, NESI shall pay the Disposal Amount in six equal monthly installments due on or before July 1, 1999, August 2, 1999, September 1, 1999, October 1, 1999, November 1, 1999, and December 1, 1999, respectively, except as provided in Section 12.1.
Second Contract Year. For each month of the Second Contract Year, the EDS Percentage shall be Thirty Five Percent (35%).

During the second Contract Year, -------------------- CoolSavings will purchase a number of Points whose total RPV and associated Xxxx-Ups equals at least two million dollars ($2,000,000). The Guaranteed Purchase commitment for the second Contract Year shall be made in four (4) installments of five hundred thousand dollars ($500,000) each, due on the first day of each Quarter during the second Contract Year, unless accelerated due to a higher consumption rate in accordance with Section 4.6(B).
