This shall constitute Supplier’s sole remedy in the event Medline fails to meet any Volume Threshold and fails to satisfy the Shortfall as described herein.
If Medline fails to meet the Volume Thresholds identified in Exhibit A for any year, Supplier shall notify Medline within sixty (60) days after the conclusion of such year and Medline shall have the option to purchase or authorize its Designees to purchase the difference between the Products actually purchased and the Volume Threshold (the “Shortfall”) within thirty (30) days of such notice.
The Company acknowledges that the final number of Common Shares to be issued and sold pursuant to an Advance Notice and the Purchase Price will not be known at the time an Advance Notice is delivered but shall be determined on each Closing based on the daily prices of the Common Shares that are the inputs to the determination of the Purchase Price, the Volume Threshold and the Adjusted Advance Amount.
Any purchases made to satisfy the Shortfall shall be counted only against the Volume Threshold for the immediately prior year.
