Volume Threshold definition

Volume Threshold means a number of Common Shares equal to the quotient of (a) the number of Advance Shares requested by the Company in an Advance Notice divided by (b) 0.30.
Volume Threshold means a number of Shares equal to the quotient of (i) the number of Advance Shares requested by the Company in an Advance Notice divided by (ii) (A) in connection with an Accelerated Purchase Pricing Period, 0.10, (B) in connection with a Regular Purchase Pricing Period, 0.30 (reduced by one third for each Excluded Day applicable to the relevant Advance Notice), and (C) in connection with an Extended Purchase Pricing Period, 0.10.

Examples of Volume Threshold in a sentence

  • This shall constitute Supplier’s sole remedy in the event Medline fails to meet any Volume Threshold and fails to satisfy the Shortfall as described herein.
