Reports and Payment Terms. Within thirty (30) days after the beginning of each quarter following first customer shipment during the term of this Agreement, Licensee shall furnish to Licensor a statement in suitable form showing all products subject to royalties hereunder which were sold, leased, licensed, transferred or otherwise disposed of during such fiscal quarter, and the amount of royalties payable thereon. If no products are subject to royalties, then that fact shall be shown on such statement. Notwithstanding the minimum royalty payments described in the schedule above will be paid within 30 days after the beginning of each quarter following the first customer shipment. This first quarter is estimated to be the second quarter of calendar year 2003.
Reports and Payment Terms. Within forty-five (45) days after the end of each fiscal quarter of Licensee, Licensee shall furnish to Sonics a statement showing the amount of Net Sales, ASP (only in the case of Section 5.3) and royalties payable on Devices Sold. If no products subject to royalty have been Sold or put into use, that fact shall be shown on such statement, provided that, in no event shall Licensee be obligated to furnish such statement until the first Sale of the Device occurs. Also, within such forty-five (45) day period, Licensee shall pay to Sonics the royalties payable hereunder for such fiscal quarter. All royalty and other payments to Sonics hereunder shall be in United States dollars. All royalties based on sales in currencies other than United States dollars shall be converted to United States dollars according to the official currency exchange rate quoted by Bank of Tokyo Mitsubishi on the date such payment is made. Within thirty (30) days after the end of ------------------------- each Goldstar fiscal quarter, until all royalties payable hereunder shall have been reported and paid, Goldstar shall furnish to Rambus an itemized statement in suitable form showing all said products subject to royalties which were Sold during such quarter, and the amount of royalty payable thereon. If no products subject to royalty have been Sold, that fact shall be shown on such statement. Also, within such thirty (30) day period Goldstar shall pay to Rambus the royalties payable hereunder for such quarter. All royalty and other payments to Rambus hereunder shall be in United States dollars. Royalties based on Sales in other currencies shall be converted to United States dollars according to the official rate of exchange for that currency, as published by The Korean Bank on the last business day of the calendar month in which the royalty accrued.

Within sixty (60) days after the ------------------------- end of each calendar quarter, Intel shall furnish to Rambus a statement in suitable form showing all Rambus Memories, by part number, subject to royalties which were sold, leased, or otherwise disposed of during the preceding calendar quarter, and the royalty rate and amount of royalty payable thereon. If no Rambus Memories subject to royalty have been sold, leased, or otherwise disposed of, that fact shall be shown on such statement. Also within this sixty (60) day period, Intel shall pay to Rambus the Rambus Memory royalties payable hereunder for such quarter. All royalty and other payments to Rambus hereunder shall be in United States dollars. Royalties based on Rambus Memory sales in other currencies shall be converted to United States dollars according to the rate of exchange for that currency as quoted by the Wall Street Journal on the last publication day of the calendar month in which the royalty accrued.

Also, within such sixty (60) day period NEC shall pay to Rambus the royalties payable hereunder for such quarter. All royalty and other payments to Rambus hereunder shall be in United States dollars. All royalties based on sales in currencies other than United States dollars shall be converted to United States dollars according to the TSS rate quoted by the Bank of Tokyo in Japan on the date such payment is made. SII shall make all License Fee payments due to NTI under Section 3 hereunder monthly, within forty-five (45) days of the end of each calendar month. All payments shall be made in U.S. dollars. Within forty-five (45) days of the end of each calendar month, SII shall also submit through an electronic transfer of funds to an account designated by NTI and shall be accompanied by a "Report". "Report" means a report showing, at a minimum, date licensed, quantity of each type of NTI Product, Check-It and ModelCalibrator licensed, the End Users' names and addresses and a statement of the amounts due NTI under Section 3. Each Report shall be deemed NTI's Confidential Information pursuant to Section 10 herein. Any exchange rate calculations made under this Agreement shall be made at the Yen to Dollar rate published by Fuji bank on the last day of the calendar month preceding payment.

Within sixty (60) days after the end of each calendar quarter, until all Per Unit Royalties payable hereunder shall have been reported and paid, Conexant shall furnish to Intellon a statement, in suitable form, showing the number of Licensed Products Sold to third parties itemized by product, and the amount of royalty payable thereon. If no products subject to payment of Per Unit Royalties have been Sold, that fact shall be shown on such statement. Also, within such sixty-(60) day period Conexant shall pay to Intellon the Per Unit Royalties payable hereunder for such quarter.

Within forty-five (45) days after the end of each of the first three fiscal quarters of Licensee and within ninety (90) days after the end of each of its fiscal years, until all royalties payable hereunder shall have been reported and paid, Licensee shall furnish to Censtor a statement in suitable form showing all Royalty Bearing Products sold by Licensee and its Affiliated Entities during such quarter and the amount of royalty payable thereon. If no products subject to royalty have been sold, that fact shall be shown on such statement. Also, within such thirty (30) day period Licensee shall pay to Censtor the royalties payable under Section 4.2 for such quarter. All royalty and other payments to Censtor hereunder shall be in United States dollars.
