Registration of Warrants. The Company shall register this Warrant, upon records to be maintained by the Company for that purpose (the “Warrant Register”), in the name of the record Holder (which shall include the initial Holder or, as the case may be, any registered assignee to which this Warrant is permissibly assigned hereunder) from time to time. The Company may deem and treat the registered Holder of this Warrant as the absolute owner hereof for the purpose of any exercise hereof or any distribution to the Holder, and for all other purposes, absent actual notice to the contrary.
Registration of Warrants. The Company shall, or shall cause its Transfer Agent to, register this Warrant, upon records to be maintained by the Company or Transfer Agent for that purpose (the “Warrant Register”), in the name of the record Holder (which shall include the initial Holder or, as the case may be, any registered assignee to which this Warrant is permissibly assigned hereunder) from time to time. Registration of Warrants. (1) The Company shall, at all times while any Warrants are outstanding, cause the Warrant Agent and its agents to maintain a register in which will be entered in alphabetical order the names, latest known addresses of the Warrantholders and particulars of the Warrants held by them, and a register of transfers in which shall be entered the particulars of all transfers of Warrants, such registers to be kept by and at the principal transfer office of the Warrant Agent in the City of Toronto.
Registration of Warrants. The Warrant Agent shall from time to time register the Transfer of any outstanding Warrant Certificates in the Warrant Register upon surrender thereof accompanied by a written instrument or instruments of transfer in the form set forth herein, duly executed by the registered Holder or Holders thereof or by the duly appointed legal representative thereof or by a duly authorized attorney. Upon any such registration of Transfer, the Warrant Agent shall issue a new Warrant Certificate to the transferee(s), and the surrendered Warrant Certificate shall be canceled and disposed of by the Warrant Agent. If less than all of the Warrants represented by a Warrant Certificate are Transferred, the Warrant Agent shall issue to the Holder a Warrant Certificate representing the remaining Warrants.
Registration of Warrants. The Trustee shall keep at the Warrant Agency: (i) a register of Warrantholders in which shall be entered in alphabetical order the names and addresses of the holders of Warrants and particulars of the Warrants held by them and (ii) a register of transfers in which all transfers of Warrants and the date and other particulars of each transfer shall be entered. Branch registers shall also be kept at such other place or places, if any, as the Corporation, with the approval of the Trustee, may designate. Such registers will at all reasonable times be open for inspection by the Corporation and/or any Warrantholder.
Registration of Warrants. The Company shall maintain a register of the Warrants to record therein the name and address of the registered holders thereof, instructions for notices, and other information for transfers or exchanges of the Warrants. No transfer of a Warrant for less than 100,000 shares shall be valid unless made by the registered holder with the prior written consent of the Company, which shall not be unreasonably withheld. The registered holder of the Warrants shall be deemed the owner thereof for purposes of this Agreement. Notwithstanding anything in this Section 2.04 to the contrary, the transfer of any Warrant shall also be subject to the restrictions on transfer set forth therein.
Registration of Warrants. The Warrant Agent, on behalf of the ------------------------ Company, will keep or cause to be kept, at the principal office of the Warrant Agent designated for such purpose, books for registration and transfer of the Warrant Certificates issued hereunder by the Company. Such books will show the names and addresses of the respective holders of the Warrant Certificates, the number of Warrants evidenced on its face by each of the Warrant Certificates, and the date of each of the Warrant Certificates. The Company and the Warrant Agent will be entitled to treat the registered holder of any Warrant Certificate (the "Holder") as the sole owner of the Warrants represented by such Warrant Certificate for all purposes and will not be bound to recognize any equitable or other claim or interest in such Warrants on the part of any other person. Neither the Company nor the Warrant Agent will be liable for any registration of transfer of any Warrants that are registered or to be registered in the name of a fiduciary or the nominee of a fiduciary.
Registration of Warrants. The Warrants shall be numbered and shall be registered on the books of the Company when issued.
Registration of Warrants. A registration statement filed pursuant to a Demand Registration or a Shelf Registration and which registers the resale of any Warrants shall also include the registration of the issuance of all shares of common stock of the Company issuable upon the exercise of such Warrants by any holder thereof who either (i) purchases such Warrants pursuant to such registration statement or (ii) purchases such Warrants after such Warrants have been previously purchased by another person pursuant to such registration statement.
Registration of Warrants. At the time of the Merger, JFAX and the Investors agree to enter into a registration rights agreement in the form attached as Exhibit C hereto for the registration by JFAX of the shares of JFAX Common Stock for which the Consideration Warrants and the New JFAX Warrants may be exercised.
