Promotional Materials and Samples. Takeda shall provide to Orexigen reasonable quantities of promotional materials (i.e., developed and approved by Takeda), samples, or sample vouchers for Product to support Orexigen’s Co-Promote activities in accordance with the following: *** Certain information on this page has been omitted and filed separately with the Commission. Promotional Materials and Samples. Except for MacroGenics Trademarks, Company shall remain solely responsible for the production of product labeling and Promotional Materials for the Initial Product, the training and testing materials for all sales representatives (including those acting on behalf of MacroGenics) who Detail the Initial Product, and restrictions with respect to the ability of such sales representatives to Detail other products. MacroGenics’ sales representatives for the Initial Product shall only use Promotional Materials provided by Company, without alteration, and shall use all such Promotional Materials. Company will provide to MacroGenics, at Company’s expense, reasonable quantities of Promotional Materials and product samples and/or sample vouchers for the Initial Product to support MacroGenics’ Detailing of the Initial Product in the U.S.. Company shall not use the MacroGenics Trademarks in any of the Promotional Materials without MacroGenics’ written consent (such consent not to be unreasonably withheld, delayed or conditioned).

Promotional Materials and Samples. P&U shall provide MGI with all available Promotional Materials created by or for P&U in quantities sufficient to allow MGI's representatives to Detail the Product in accordance with the Marketing and Promotional Plan. Such Promotional Materials and any other items, such as samples, to be provided by P&U to MGI pursuant to the Marketing and Promotional Plan shall be provided at P&U's cost, and included in P&U's Non-Detailing Costs. Promotional Materials and Samples. WL will support the promotion of the Product by Ascent hereunder through the provision of quantities of Samples and Promotional Materials which are [**]. WL shall, at its sole cost and expense, produce, provide and ship to Ascent [**] quantities of Promotional Materials and Samples of the Product. WL represents and warrants that all Promotional Materials supplied hereunder are in compliance with all applicable laws and regulations. Ascent shall not distribute any promotional, sales, marketing or educational materials relating to the Product except for the Promotional Materials. WL reserves the right to adjust the advertising and promotional support activities, including quantity of Samples, Promotional Materials, promotion and advertising, during the course of each Contract Year of this Agreement, based upon, among other things, supply, available funds and brand performance.

If AVEO desires to change its sampling procedures and policies, AVEO shall give Schering-Plough a revised draft of its sampling procedures and policies, and Schering-Plough shall have thirty (30) days to review and approve or reject such proposed changes. AVEO shall not implement such proposed changes to its sampling procedures and policies until it has received Schering-Plough’s prior written approval, such approval not to be unreasonably withheld or delayed.
