Detailing Costs definition
Detailing Costs means that amount determined by multiplying the total number of PDEs promoting Product in a given Calendar Year (a) by [***] Dollars ($[***]) for the remainder of 2008, and (b) for subsequent Calendar Years, by an amount equal to [***] Dollars ($[***]) increased by the cumulative percentage increase in the United States Consumer Price Index (found at: ▇▇▇▇://▇▇▇.▇▇▇.▇▇▇/cpi/) between the first Calendar Year of the term of this Agreement and the relevant Calendar Year.
Detailing Costs means the FTE Rate for Sales and Medical Representatives multiplied by the Detail FTE Requirements. The Detailing Costs shall be (a) [*], (b) defined in the China Commercialization Plan, and (c) based on the FTE Rate determined pursuant to Section 1.37. In the event a Party elects to provide a greater number of FTEs than are contemplated by the China Commercialization Plan, except as otherwise provided in Section 6.2(g), the costs attributable to such additional FTEs shall [*].
Detailing Costs shall include the expenses associated with performing Details. Such expenses shall calculated on the basis of a fixed rate per PDE (as defined in Article 1) determined by the Finance Subcommittee and approved by the JSC, irrespective of which Party's Sales Representatives perform the Details.

You will receive this payment in accordance with the payment timing provisions of the Pension Equalization and Supplemental Savings Plans, including the provisions applicable to “specified employees” pursuant to Section 409A.
All such internal personnel and resources, with the exception of Detailing Costs, will be expressed in terms of FTEs and the budgeted cost calculated using the relevant FTE Rates.
Any amounts paid or payable pursuant to this Section 6.2(g)(i)(d) from one Party to the other Party shall not be included in Detailing Costs, Promotional Costs or Allowable Expenses.
Each Party will be responsible for its own Detailing Costs incurred and such Detailing Costs incurred shall be part of the calculation and sharing of Net Operating Profit as provided in Section 3.6.
Victory shall be responsible for the Detailing Costs related to establishing, maintaining and training its Sales Force and conducting Victory’s other activities under this Agreement.

Detailing Costs means all costs which are directly related to the establishment, maintenance, training and functioning of either party’s Sales Force, including, without limitation, costs relating to sales meetings, training meetings and plan of action meetings and associated travel costs, compensation (including salary and incentive compensation), sales contests, sales force automation systems (including configuration for the Product), sales force deployment and alignment, operations costs (including fleet, sample accountability, sales reports, etc.), “lunch and learns,” and training, sales and promotional materials (subject to Section 4.2). Notwithstanding the foregoing, the parties’ obligations with respect to Samples are as described in Section 4.4 hereof.
Detailing Costs means, with respect to a Product costs incurred by a Party or its Affiliates for the establishment and maintenance of sales personnel (including a field-based sales force that Details such Product and regional and district managers) to the extent such personnel are, or will be, assigned to selling such Product in the United States: (a) [***], such as [***]; (b) [***], [***]; (c) [***], [***]; (d) [***]; (e) [***]; and (f) [***].
