Product Change. 8.1 UNIVIEW reserves the right to make modifications to the Product and its components. UNIVIEW agrees to notify Zoned In of any change to the Product that may affect Zoned In's Specified Features, reliability of the Product or the packaging media. UNIVIEW shall provide Zoned In with written notification of the aforementioned changes not less than thirty (30) days prior to the proposed change. In the event any proposed change affects the operation, reliability or life of the Product, or the ability to interface the Product with other products, and in the event UNIVIEW and Zoned In fail to reach agreement thereon, Zoned In shall have the right to terminate this Agreement and/or any or all outstanding purchase orders for the Product, in whole or in part.

Product Change. Product Change" shall have the meaning set forth in Section 2.4.
Product Change. Except as provided herein, Supplier shall not make a Change to any Product affecting the form, fit or function of the Product, including (a) applying a Change to the design or modification of the Product; and (b) discontinuing or removing any of the Products covered under this Agreement. Either Party may submit proposals for Changes. For every request for a Change, the Supplier shall submit to Gogo a proposal identifying: (1) whether Supplier believes the change to be a major or minor Change with full justification regarding the reasons for the major or minor Change; (2) a detailed technical explanation of and justification for the contemplated Change; (3) where relevant, a fully itemized and detailed cost explanation of any potential associated costs of Change, as defined below, that Supplier believes should be charged to Gogo; and (4) any impact to the schedule, milestones, guarantees, production rates, forecasts or logistic conditions for the Product. This proposal shall be submitted within twenty-one (21) calendar days from receipt of or need for any request for a major or minor Change. Any information or additional cost not contained in the submitted proposal will be deemed waived by the Supplier for consideration of approval of the request for Change.
Product Change. The Company reserves the right to make modifications in the Products at any time but shall not be obligated to implement such modifications in Products which have previously been delivered.

Backward compatibility to prior Product and software versions is required unless agreed otherwise. Motorola will respond to each Product Change Notice (“PCN”). If Motorola provides written acceptance, Supplier may make the requested change(s) and begin to ship Products with such accepted changes once they have been qualified, whether or not CONFIDENTIAL PROPRIETARY CONFIDENTIAL TREATMENT REQUEST the notice period described above has expired If Motorola rejects the change(s) or does not provide written acceptance within the notice period specified above, Supplier may not make the change. If Supplier does not follow Motorola’s required product change process, and Motorola has not waived (in documented form) Supplier’s obligation to follow the product change process, Supplier shall [CONFIDENTIAL TREATMENT]

Supplier shall provide MTI the PCN a minimum of six (6) months prior to any intended change to: (i) the design, content, form, fit, or function of any Product; (ii) the location of manufacture, assembly, or packaging of the Product; or (iii) the part number(s) of any Product. MTI may request additional time to complete qualification of a proposed change, and Supplier must allow for this contingency in its change implementation timing. Backward compatibility to prior Product and software versions is required unless agreed otherwise. MTI will respond to each Product Change Notice. If MTI provides written acceptance, Supplier may make the requested change(s) and begin to ship modified Products once they have been qualified. If MTI rejects the change(s) or does not provide written acceptance within ninety (90) days of receipt of the PCN, Supplier may not make the change. If Supplier does not follow MTI’s required product change process, Supplier is completely responsible for all direct and indirect consequences, including, without limitation, all costs, damages, losses and expenses incurred by MTI or its customers.

Product Change. RMI shall notify Purchaser in writing of any and all proposed changes to any Specifications for any Product that materially affect form, fit or function. Such notices shall be delivered at least ninety (90) days prior to the date such change is proposed to be incorporated into the Product. If upon evaluation of the proposed changes, Purchaser, in its sole discretion, determines that the changes would render Purchaser’s products to no longer operate or to be adversely affected in form, fit and function or material delay of introduction of its products, RMI will provide Purchaser with additional Products utilizing the old design to fulfill its needs for up to twelve (12) months from the date of Purchaser’s evaluation; provided, however, that the last Delivery Date for such Products shall not be later than the last day of such twelve (12) month period.
Product Change. Synerx shall not file any supplemental ANDA application that requires prior approval with the FDA to change the Specification for Product without providing Delcath ninety (90) days prior written notice and shall immediately notify Delcath upon receipt of approval from the FDA regarding the supplemental ANDA application. To the extent the foregoing notice period is not practicable, Synerx, acting reasonably and in good faith, shall provide Delcath with such prior written notice as shall be practicable.
Product Change. SERCOMM shall notify Buyer in writing of any and all proposed changes to any Specifications or Product that materially affect form, fit or function. If changes are solely made by SERCOMM, such notices shall be delivered at least ninety (90) days prior to the date such change is proposed to be incorporated into the Product. If upon evaluation of the proposed changes, Buyer, in its sole discretion, determines that the changes would render SERCOMM’s products to no longer operate or to be adversely affected in form, fit and function or material delay of introduction of its products, SERCOMM will provide Buyer with additional Products utilizing the current design to fulfill its needs at Buyer’s risk for up to six (6) months from the date of SERCOMM’s notice.
