B. The following definitions apply to ownership disclosure: 1. A person with an ownership interest or control interest means a person or corporation that: a. Owns, indirectly or directly, 5 percent or more of the contractor's capital or stock, or receives 5 percent or more of its profits; b. Has an interest in any mortgage, deed of trust, note, or other obligation secured in whole or in part by the contractor or by its property or assets and that interest is equal to or exceeds 5 percent of the total property or assets; or c. Is an officer or director of the contractor if organized as a corporation, or is a partner in the contractor if organized as a partnership. 2. The percentage of direct ownership or control is calculated by multiplying the percent of interest that a person owns by the percent of the contractor's assets used to secure the obligation. Thus, if a person owns 10 percent of a note secured by 60 percent of the contractor's assets, the person owns 6 percent of the contractor. 3. The percent of indirect ownership or control is calculated by multiplying the percentage of ownership in each organization. Thus, if a person owns 10 percent of the stock in a corporation that owns 80 percent of the contractor's stock, the person owns 8 percent of the contractor. C. Changes in management are defined as any change in the management control of the contractor. Examples of such changes are those listed below or equivalent positions by another title. 1.
