Member Expenses. Except as specifically provided in this Agreement to the contrary, DPT and PTS shall each be solely responsible for their respective costs incurred in delivering and performing the services and assets required to be contributed to the Company under this Agreement, including travel, overhead, legal, and general and administrative expenses of the Member.

Member Expenses. The Company will reimburse CSL Energy for reasonable direct costs and expenses (such as travel) incurred by CSL Energy on behalf of and for the benefit of the Company, including such costs and expenses associated with monitoring the performance of the Company and any costs and expenses associated with the secondment to the Company or its Subsidiaries of any employees of CSL Energy.

Member Expenses. To the extent any expenses paid by any Member that are not required to be reimbursed by the Company are nevertheless deemed to be Company expenses for tax purposes, any items of loss or deduction attributable to those expenses will be specially allocated to such Member; provided, however, the amount of the expenses and the special allocation of the loss or deduction attributable thereto will be ignored for purposes of such Member's Capital Account.
