Licenses, Certificates and Permits. The Company, the Partnership and the Subsidiaries hold all material licenses, certificates and permits from governmental authorities which are necessary to the conduct of their businesses and are in compliance with the terms and conditions of such licenses, certificates and permits; and the Company, the Partnership and the Subsidiaries have not received any notice of proceedings relating to the revocation or modification of any such permits, licenses or certificates that, if determined adversely to the Company, the Partnership or any Subsidiary, would have a Material Adverse Effect.

To the extent the same are within the possession, custody or control of, Seller and are applicable and/or transferable to Buyer, all original licenses, certificates and permits pertaining to the Property and beneficial for, or necessary for, or affecting the use or occupancy thereof.

The Tow Operator certifies that its drivers and equipment operators possess all certificates, licenses and permits necessary to perform the services provided under this Agreement; that any certificates, licenses and permits are currently in good standing and that any certificates, licenses and permits will continue to be maintained in good standing.

Except as disclosed in the Disclosure Materials, Registration Statement and the Prospectus, the Company, its Subsidiaries, including Sxxxxx Beijing possess all licenses, certificates, permits and other authorizations issued by the appropriate national, provincial, local or foreign regulatory authorities necessary to conduct their respective businesses, except where the lack of which would not, individually or in the aggregate, have a Material Adverse Effect and none of the Company, any of its Subsidiaries or Sxxxxx Beijing has received any notice of proceedings relating to the revocation or modification of any such certificate, authorization or permit which, singly or in the aggregate, if the subject of an unfavorable decision, ruling or finding, would have a Material Adverse Effect.
Licenses, Certificates and Permits. 4.6.1. Seller has all cellular licenses and authorizations from the FCC to operate the System (I.E., the FCC Authorization). The FCC Authorization is disclosed on EXHIBIT D, which also contains a true and complete copy of the public notice of grant of the FCC Authorization, which FCC Authorization is in full force and effect. It is understood that (i) any Common Carrier Fixed Point-to-Point Microwave Radio Service ("PPMRS") licenses necessary to the build-out and operation of the System will be licensed to Buyer, and prior to the Closing Seller in turn will lease from Buyer, at no charge, sufficient capacity pursuant to such licenses to enable Seller to backhaul signals from the cell sites to the switch, and (ii) in the event Closing does not occur, then Buyer will assign the PPMRS licenses to Seller at no cost, subject to and conditioned upon prior receipt of all required FCC and other regulatory approvals, all of which will be pursued diligently by both Buyer and Seller. There are no pending modifications, amendments or revocation proceedings which would adversely affect the operation of the System. All fees due and payable to governmental authorities pursuant to the FCC Authorization have been paid. No event has occurred which, with the giving of notice or the lapse of time or both, would constitute grounds for revocation of the FCC Authorization. Seller is in compliance in all material respects with and is not in default under the terms of the FCC Authorization. There is no condition, event or occurrence existing, or, to Seller's actual knowledge, no proceeding threatened or being conducted, which would cause the termination, suspension or cancellation of the FCC Authorization. All actions taken by Seller in connection with the System have been and are being conducted in all material respects to protect the FCC Authorization. The initial application, as amended, for the FCC Authorization neither contains an untrue statement of material fact nor omits to state a material fact necessary to make the statements contained therein not misleading.
Licenses, Certificates and Permits. Copies of all licenses, certificates, and permits required for individual vendors are required to be on file with the Xxxxxx Landing Farmers’ Market before a vendor may set up. Vendors are responsible to comply with all Federal, State, and Local laws and regulations applicable to their product. It is the responsibility of the vendor to comply with all packaging, labeling, grading, signage and pricing requirements applicable to their products.
