Disclosure Materials means, collectively, the SEC Documents, the disclosure package delivered to the Purchaser in connection with the offering by the Company of the Shares and the Schedules to this Agreement furnished by or on behalf of the Company pursuant to Section 3.1.

Disclosure Materials shall have the meaning ascribed to such term in Section 3.1(h).

Disclosure Materials means, collectively, (i) the Annual Reports on Form 10-K of Xcel Energy Inc. and each of its Existing Utility Subsidiaries (as defined in the Xcel Energy Credit Agreement) for the fiscal year ended December 31, 2018, (ii) the Quarterly Reports on Form 10-Q of each of Xcel Energy Inc. and its Existing Utility Subsidiaries for the fiscal quarter ended on March 31, 2019 and (iii) the Current Reports on Form 8-K filed by each of Xcel Energy Inc., and its Existing Utility Subsidiaries, in each case, after March 31, 2019 but prior to the date hereof.

Disclosure Materials means the SEC Reports together with this Agreement and the Schedules to this Agreement (if any).

Disclosure Materials means the Offering Memorandum, and any amendments or supplements thereto relating to the 2015 GR-5 Notes.
