Knowledge and Compliance. CONSULTANT shall keep itself fully informed of and in compliance with all applicable local, state and federal laws, rules and regulations in any manner affecting the performance of the Services, and shall give all notices required of CONSULTANT by law. Similarly, CONSULTANT’s employees, CONSULTANT’S, experts, engineers and consultants shall keep themselves fully informed of all applicable laws and regulations affecting performance. CONSULTANT shall be liable, pursuant to Article 12 of this Agreement, for all violations of such laws and regulations in connection with its services. If CONSULTANT performs any work knowing it to be contrary to such laws, rules and regulations and without giving written notice to the DISTRICT, CONSULTANT shall be solely responsible for all costs arising there from. CONSULTANT shall defend, indemnify and hold the DISTRICT, its officials, officers, employees and agents free and harmless, pursuant to the indemnification provisions of this Agreement, from any claim or liability arising out of any failure to comply with such laws, rules or regulations.
Knowledge and Compliance. Designer shall be liable, pursuant to the standard of care and indemnification provisions of this Agreement, for all violations of such laws and regulations in connection with its Services. If the Designer performs any work knowing it to be contrary to such laws, rules and regulations, Designer shall be solely responsible for all costs arising therefrom. Designer shall defend, indemnify and hold City, its officials, officers, employees and agents free and harmless, pursuant to the indemnification provisions of this Agreement, from any claim or liability arising out of any failure or alleged failure to comply with such laws, rules or regulations.

Representative hereby represents that he has studied and is thoroughly familiar with the provisions of all applicable Federal, state and municipal laws and the rules and regulations of the SEC and NASD, that he will continue to remain familiar with such provisions, and that he will fully comply therewith and that he will make all solicitations and sales and use his best efforts to cause all other personnel which may be supervised by him to make solicitations and sales in strict accordance therewith.

If Architect performs any work knowing it to be contrary to such laws, rules and regulations and without giving written notice to District, Architect shall be solely responsible for all costs arising therefrom. Architect shall indemnify, and hold District, and its officials, officers, employees, and agents, free and harmless, pursuant to the indemnification provisions of this Agreement, from any claim or liability arising out of any failure or alleged failure to comply with such laws, rules, or regulations.

Representative also represents that he will diligently study for and obtain all required licenses or registrations, which may change from time to time, and will remain in good standing to maintain the same (e.g., S-6 (Investment Company and Variable Contracts Products Representative), S-7 (Full Registration/General Securities Representative), and S-62 (Uniform Securities Agent State Law Examination)).

Knowledge and Compliance. Licensee understands that Teva Pharmaceutical Industries Ltd. and/or its Affiliates are subject to the Anti-Corruption Laws and Principles. Licensee agrees to ensure that all of its Personnel are knowledgeable regarding the purpose and provisions of the Anti-Corruption Laws and Principles, and also agrees to take appropriate steps to ensure that such Personnel will comply with the letter and spirit of the Anti-Corruption Laws and Principles and will not take any actions which would cause either Party to violate or contravene the Anti-Corruption Laws and Principles. Licensee will maintain policies, procedures, and internal controls to ensure that it will be in compliance with the Anti-Corruption Laws and Principles in connection with its performance of this Agreement. Such policies, procedures, and internal controls will include processes through which employees will obtain approval for expenditures that may be incurred on behalf of or result in payments to Government Officials, healthcare professionals, or customers in connection with Third Party’s performance of this Agreement (e.g., gift, travel, entertainment, hospitality, conference, meeting, event, consulting, and research expenditures). In the event of inconsistency in the requirements of Chinese Anti-Corruption Law and U.S. or other potentially applicable Anti-Corruption Law, Licensee shall comply with the stricter Anti-Corruption Law.
Knowledge and Compliance. The Parties are committed to ensuring that their personnel are knowledgeable as to and committed to compliance with the Anti-Corruption Laws. To those ends:

Elan understands, and shall ensure that all Elan Personnel understand, that Teva Pharmaceutical Industries Ltd. and/or its subsidiaries (collectively, the “Teva Group”) are subject to the Anti-Corruption Laws and Principles. Elan agrees that it shall cause all Elan Personnel to be similarly bound by the provisions contained herein. Elan agrees to ensure that it and all Elan Personnel are knowledgeable regarding the purpose and provisions of the Anti-Corruption Laws and Principles, and also agrees to take appropriate steps to ensure that it and such Elan Personnel will comply with the letter and spirit of the Anti-Corruption Laws and Principles and will not take any actions which would cause either Party to violate or contravene the Anti-Corruption Laws and Principles. Elan will maintain, and ensure that any Company that uses Elan Personnel likewise maintain, policies, procedures, and internal controls to ensure that it will be in compliance with the Anti-Corruption Laws and Principles in connection with its performance of the Agreement. Such policies, procedures, and internal controls will include processes through which all Elan Personnel will obtain approval for expenditures that may be incurred on behalf of or result in payments to Government Officials, healthcare professionals, or customers in connection with Elan’s and any Elan Personnel’s performance of the Agreement (e.g., gift, travel, entertainment, hospitality, conference, meeting, event, consulting, and research expenditures).
