January 15. 2011. If Gulf exercises its options under Sections 3.07 and 3.08, on or before January 15, 2011, (or such later date as may be mutually agreed by the Parties in a manually signed writing (not email or electronic signature)) Gulf shall have the right, but not the obligation, to pay $1,100,000 to Operator by wire transfer in immediately available funds. Upon receipt of the funds, Operator will assign Gulf within seven (7) days a five percent (5%) Block XXIV Participating Interest and a four percent (4%) TEA Interest by means of a Deed of Assignment substantially in the form of Exhibits A and B. Full and timely payment and Gulfs timely performance under Sections 3.01 to 3.08 is a condition precedent to Operator's obligation to assign and Gulfs right to any future assignment, but Gulf shall have no obligation or liability for failure to pay any amount under this Section 3.09.
