Indemnification by CEI. CEI covenants and agrees that it will indemnify, defend, protect and hold harmless the STOCKHOLDERS at all times from and after the date of this Agreement until the Expiration Date, from and against all claims, damages, actions, suits, proceedings, demands, assessments, adjustments, costs and expenses (including specifically, but without limitation, reasonable attorneys' fees and expenses of investigation) incurred by the STOCKHOLDERS as a result of or arising from (i) any breach by CEI or NEWCO of its representations and warranties set forth herein (as amended by any amendment or supplement to a Schedule that has received the requisite consents contemplated by Section 7.8) or on the schedules or certificates delivered in connection herewith as of the date made and as of the date any such representations and warranties are re-confirmed, (ii) any breach on the part of CEI or NEWCO of any agreement under this Agreement, (iii) any liability which the STOCKHOLDERS may incur due to CEI's or NEWCO's failure to be responsible for the liabilities and obligations of the COMPANY as provided in Section 1 hereof (except to the extent that CEI or NEWCO has claims against the STOCKHOLDERS by reason of such liabilities); (iv) any liability under the 1933 Act, the 1934 Act or other Federal or state law or regulation, at common law or otherwise, either (1) arising out of or based upon any untrue statement of a material fact relating to CEI, NEWCO or any of the Other Founding Companies for inclusion in any preliminary prospectus, the Registration Statement or any prospectus forming a part thereof, or any amendment thereof or supplement thereto, or (2) arising out of or based upon any omission to state therein a material fact relating to CEI or NEWCO or any of the Other Founding Companies required to be stated therein or necessary to make the statements therein not misleading (v) the matters described on Schedule 11.2(v) or (vi) any liability under the 1933 Act, the 1934 Act or other Federal or state law regulation, at common law or otherwise as a result of CEI's failure to include in the Registration Statement any information provided at least ten days prior to the Funding and Consummation Date by the COMPANY or the STOCKHOLDERS in writing to CEI or its counsel specifically for inclusion in the Registration Statement.

Indemnification by CEI. (a) Each of the CEI Parties shall, subject to the terms hereof, jointly and severally indemnify, defend and hold harmless the CAMAC Parties and their respective successors and permitted assigns (the “CAMAC Indemnified Parties”) from and against any Damages arising from: (i) any breach of any representation or warranty made by the CEI Parties in Article V or in any certificate delivered by the CEI Parties pursuant to this Agreement; or (ii) any breach by any CEI Party, of its covenants or obligations in this Agreement to be performed or complied with by such CEI Party at or prior to the Closing.
Indemnification by CEI. CEI shall except as otherwise specified herein, on an after-Tax basis, indemnify and hold harmless Asia Sixth, its Affiliates and its assigns, following the Closing, and to the extent named or involved in any third party action or claim, their respective employees, shareholders, directors, officers, representatives and related persons (collectively, the “Asia Sixth Indemnified Persons”) against, and shall pay to the Asia Sixth Indemnified Persons, on demand, with interest, the amount of, any Damages, whether or not involving a third party claim, suffered by, imposed upon or asserted against, the Asia Sixth Indemnified Persons as a result of, in respect of, connected with, or arising out of, under, or pursuant to any breach of any representation, warranty or covenant made by CEI in this Agreement in any material respect and which is not rectified (if capable of being rectified) within 20 Business Days of written notice from the Asia Sixth Indemnified Persons.
Indemnification by CEI. CEI, regardless of any prior knowledge, inspection, or investigation on the part of SNFC, hereby agrees to indemnify and hold harmless SNFC against and in respect of any direct out-of-pocket loss, damage, or expense arising out of: (a) Any claim, liability, or obligation suffered or incurred by SNFC resulting from or arising out of (i) any misrepresentation, breach, or non-fulfillment of any representation, warranty, covenant, or agreement on the part of CEI contained in this Agreement; or (ii) the CEI Lawsuit or the SSLIC Lawsuit, other than attorneys' fees and expenses incurred in the prosecution of either such lawsuit; and (b) All actions, suits, investigations, proceedings, demands, assessments, judgments, reasonable attorneys' fees, direct out-of-pocket costs and expenses incident to the foregoing, including (but not limited to) any audit or investigation by any governmental entity.

To the extent any Purchaser Indemnitee is entitled to collect Purchaser Damages, Purchaser shall, at its option and subject to the terms of the Escrow Agreement, be entitled to withdraw sufficient funds from the Escrow Fund pursuant to the Escrow Agreement in lieu of payment directly from Seller, and to the extent the amount due any Purchaser Indemnitee exceeds the balance of the funds held under the Escrow Agreement, Purchaser shall be entitled to collect such balance owned to Purchaser Indemnitee directly from Seller.
