Freight; Title and Risk of Loss. Unless otherwise specifically provided Supplier shall be responsible for delivery of the Products DDP Stryker’s designated facility (INCOTERMS 2010) utilizing Stryker’s freight carrier of choice. Further, Supplier shall bear all risk of loss and expenses associated with Products rejected by Stryker or as to which Stryker has revoked its acceptance, from the time of such rejection or revocation. Subject to acceptance of Products following inspection as set forth in Section 11 of this Agreement, title shall pass concurrent with the risk of loss as set forth above.

Unless otherwise stipulated with the Buyer when an Order is accepted, the Equipment will be delivered by Seller “FCA (Free Carrier), with named place being the Seller’s premises where the Goods are being dispatched, (Incoterms 2010). Title to the Equipment will pass to Customer upon payment in full of the Contract Price as outlined in Section 5.1 above, except that title to Software will not pass to Customer at any time. Risk of loss will pass to Customer upon delivery of the Equipment to the Customer at the agreed named place of delivery in accordance with the Incoterm in the contract. Seller will pack and ship all Equipment in accordance with good commercial practices.
Freight; Title and Risk of Loss. If Delivery occurs in Seller’s vehicles, shipments shall be Delivered D.A.P. Buyer’s designated point and all costs of Delivery, including costs related to unloading and delays in unloading, shall be charged to Buyer. In all other cases, the D.A.P. point shall be Seller’s store or warehouse. Title and risk of loss shall pass to Buyer upon Delivery.

Unless otherwise specifically provided on the face of this Order, the goods shall be delivered on a Delivered Duty Paid (DDP) basis, as defined in the International Chamber of Commerce’s Incoterms 2010, to Buyer’s destination specified on the face of this Order. Any freight charges invoiced to Buyer, either by Seller or the carrier, will be charged back to and paid by Seller. If the face of this Order designates an FOB, ExWorks, or FCA Incoterm, Buyer will be responsible for freight charges from seller’s US port to the destination on the face hereof only if freighted by the method specified on the face of this order. Any costs incurred by Buyer as a result of Seller’s failure to comply with Buyer’s routing instructions shall be borne by Seller.

Unless otherwise specifically provided for herein, Supplier shall be responsible for freight and delivery to the destination specified on the face of this PO or notified subsequently in writing. All freight and delivery charges will be paid by Supplier. Unless Incoterms are agreed, the title and risk of Goods shall remain with Supplier until they are delivered at the “ship to” destination specified on the face of this PO. Further, Supplier shall bear the same risks with respect to any goods rejected by Purchaser or as to which Purchaser has revoked its acceptance, from the time of such rejection or revocation. In case of Import, the Goods shall be delivered by the Supplier to the nearest port of landing (SeaPort/AirPort). From the time of the dispatch from the supplier’s premises till the time that the Goods are loaded on to the vessel, the risk of and loss or damage to or deterioration of the Products from whatever cause arising shall be borne by the supplier.

Notwithstanding anything else herein, Supplier shall bear all risks of loss and damage to the Products until final acceptance by Stryker at Stryker's "ship to" destination specified on the face of this PO. Further, Supplier shall bear the same risks with respect to any Products rejected by Stryker or as to which Stryker has revoked its acceptance, from the time of such rejection or revocation.
