Disclosure of Licensed Know-How. Licensor shall, as promptly as practically possible after the Closing Date, prepare and disclose to Licensee a written manual that explains the Licensed Know-how necessary for the manufacture of Products.
Disclosure of Licensed Know-How. During the term of this Agreement, the Purchaser shall have access, as reasonably requested by the Purchaser, to personnel of the Company and its Affiliates at reasonable times during normal business hours and upon prior notice for discussions relating to regulatory, scientific, medical and other technology contained in or relating to the Licensed Know-How. In addition, to the extent required by the Purchaser, the Purchaser shall have access to all documents of the Company and its Affiliates related in any way to any such discussions.
Disclosure of Licensed Know-How. OXIS will supply HaptoGuard, as promptly as practicable after the Effective Date, and in any event within sixty (60) days of the Effective Date, with all Licensed Know-How available to or possessed by OXIS that will enable HaptoGuard to independently manufacture the Licensed Products and obtain subsequent Regulatory Approvals. The parties agree to work in good faith and to use best efforts to complete the disclosure of Licensed Know-How to HaptoGuard within the time period set forth above.
Disclosure of Licensed Know-How. Notwithstanding anything to the contrary herein, Licensor shall have no obligation to disclose to Licensee any Licensed Know-How.

Except with respect to the Curated Licensed Know-How, Sanofi shall disclose and make available to Licensee the Licensed Know-How listed in Schedule 1.61 within thirty [***] after the Effective Date by granting the Licensee download rights to the data room from which the Licensed Know-How may be accessed. Licensee shall complete its download of the Licensed Know-How referred to in the preceding sentence from such data room within [***] after having been granted download rights to such data room. Sanofi shall disclose and make available to Licensee the Curated Licensed Know-How within [***] after the Effective Date by granting the Licensee download rights to the data room from which the Licensed Know-How may be accessed. Licensee shall complete its download of the Curated Licensed Know-How referred to in the preceding sentence from such data room within [***] after being notified by Sanofi that such Curated Licensed Know-How is available in such data room. Sanofi shall maintain the data room from which Licensee will access the Licensed Know-How for at least [***] after the Effective Date. Licensed Know-How will be provided in its original language together with any English translation (if created in a language other than English) in Sanofi’s possession as of the Effective Date.
Disclosure of Licensed Know-How. During the term of this Agreement, Cephalon shall have access, as reasonably requested by Cephalon, to personnel of Acusphere and its Affiliates at reasonable times during normal business hours and upon prior notice for discussions relating to regulatory, scientific, medical and other technology contained in or relating to the Licensed Know-How. In addition, to the extent reasonably necessary, Cephalon shall have access to all documents of Acusphere and its Affiliates identified by Cephalon as important as a result of such discussions.
Disclosure of Licensed Know-How. (1) Promptly upon the execution of this Agreement, and from time to time thereafter, as the same shall become available to LICENSOR, the LICENSOR shall disclose to LICENSEE the Licensed Know-How.
Disclosure of Licensed Know-How. Alpine will promptly transfer to Horizon all Licensed Know-How (a) promptly following the Effective Date to the extent then existing, (b) generated during the activities conducted pursuant to the Deliverables Plan, as applicable, [***] following completion of such activities, and (c) [***].
Disclosure of Licensed Know-How. (i) Promptly after the Effective Date, Viracta shall (A) transfer to Salubris all regulatory, clinical, and non-clinical data, and supporting CMC documentation, and (B) disclose to Salubris all Licensed Know-How, in each case (A) and (B) as may be reasonably useful or necessary for Salubris to Develop the Product, manufacture the Drug Candidate, and/or establish and validate commercial scale manufacturing capabilities for the Drug Candidate, and in each case Controlled by Viracta as of the Effective Date. Salubris acknowledges that certain manufacturing data and supporting CMC documentation will not be available prior to the completion by Viracta of its planned 2019 manufacturing optimization and scale-up project, and that such data and documentation will be provided by Viracta to Salubris promptly following the completion of such project pursuant to subsection (ii) below.
