Disclosure and Non Use. The Employee agrees not to disclose the Confidential Information to any third party without the prior written consent of the Company, except as required by law. Furthermore, the Employee agrees not to use the Confidential Information for personal gain or in any manner that may be detrimental to the Company’s interests. Return of Company Property: Upon termination of employment or at the Company’s request, the Employee shall promptly return all Company property, including documents, records, data, electronic files, and any other materials containing or relating to the Confidential Information.

Disclosure and Non Use. The Receiving Party agrees not to disclose or reveal any Confidential Information to any third party without the prior written consent of the Disclosing Party, except as required by law or as necessary for the performance of their duties at the Site. The Receiving Party further agrees not to use the Confidential Information for their personal benefit or for the benefit of any third party without the prior written consent of the Disclosing Party.
Disclosure and Non Use. Contractor agrees that he/she will maintain the confidentiality of all Confidential Information, and will not, during the term of this Agreement or thereafter, reveal, communicate or disclose any Confidential Information, directly or indirectly, under any circumstance or by any means, to any person, entity or third party. Contractor agrees to exercise the highest degree of care in safeguarding the Confidential Information against loss, theft, or other inadvertent disclosure, and agrees generally to take all steps necessary to ensure the maintenance of confidentiality. Disclosure and Non Use. The Receiving Party agrees to treat as secret and hold in strict confidence all Confidential Information it receives from the Disclosing Party under this Services Agreement. In the event the Receiving Party is required by court order, or by law or legal process, to disclose Confidential Information of the Disclosing Party, the Receiving Party shall inform the Disclosing Party in writing prior to making such disclosure to provide sufficient time to request a protective order or other appropriate measure, and the Receiving Party will disclose only such information that is legally required and will use its reasonable best efforts to obtain confidential treatment for any Confidential Information that is so disclosed.
Disclosure and Non Use. Confidential Information shall not: be used by Recipient for any reason other than the Purpose and the Permitted Use related thereto; or be disclosed by Recipient in any manner to any third party, without the prior written consent of the Disclosing Party. Recipient agrees that it shall be liable for any breach of the terms of this Agreement by its Representatives. No Confidential Information shall be disclosed by the Recipient to any of its Representatives who do not have a need for such Confidential Information as reasonably determined by Recipient. during the term of this Agreement, Recipient shall not contact either the City of Hillsboro, County of Washington, State of Oregon, or Portland General Electric, regarding the Purpose or business transaction contemplated herein without the prior written consent of the Company.

  • Non-Disclosure and Non-Use The Executive shall not, during the Term and at all times thereafter, without the written authorization of the Chief Executive Officer (“CEO”) of the Company or such other executive governing body as may exist in lieu of the CEO, (hereinafter referred to as the “Executive Approval”), use (except for the benefit of the Company) any Confidential and Trade Secret Information relating to the Company. The Executive shall hold in strictest confidence and shall not, without the Executive Approval, disclose to anyone, other than directors, officers, employees and counsel of the Company in furtherance of the business of the Company, any Confidential and Trade Secret Information relating to the Company. For purposes of this Agreement, “Confidential and Trade Secret Information” includes: the general or specific nature of any concept in development, the business plan or development schedule of any concept, vendor, merchant or customer lists or other processes, know-how, designs, formulas, methods, software, improvements, technology, new products, marketing and selling plans, business plans, development schedules, budgets and unpublished financial statements, licenses, prices and costs, suppliers, and information regarding the skills, compensation or duties of employees, independent contractors or consultants of the Company and any other information about the Company that is proprietary or confidential. Notwithstanding the foregoing, nothing herein shall prevent the Executive from disclosing Confidential and Trade Secret Information to the extent required by law or by any court or regulatory authority having actual or apparent authority to require such disclosure or in connection with any litigation or arbitration involving this Agreement. The restrictions set forth in this Section 6(b) shall not apply to information that is or becomes generally available to the public or known within the Company’s trade or industry (other than as a result of its wrongful disclosure by the Executive), or information received on a non-confidential basis from sources other than the Company who are not in violation of a confidentiality agreement with the Company. The Executive further represents and agrees that, during the Term and at all times thereafter, the Executive is obligated to comply with the rules and regulations of the Securities and Exchange Commission (“SEC”) regarding trading shares and/or exercising options related to the Company's stock. The Executive acknowledges that the Company has not provided opinions or legal advice regarding the Executive’s obligations in this respect and that it is the Executive's responsibility to seek independent legal advice with respect to any stock or option transaction.

Nothing herein shall be construed to prevent disclosure of Confidential Information as may be required by applicable law or regulation, or pursuant to the valid order of a court of competent jurisdiction or an authorized government agency, provided that the disclosure does not exceed the extent of disclosure required by such law, regulation, or order. The Executive shall promptly provide written notice of any such order to the Board.

  • Non-Use and Non-Disclosure The parties shall at all times, both during the Term and thereafter keep in trust and confidence all Confidential Information of the other party using commercially reasonable care (but in no event less than the same degree of care that the receiving party uses to protect its own Confidential Information) and shall not use such Confidential Information other than as necessary to carry out its duties under this Agreement, nor shall either party disclose any such Confidential Information to third parties other than to Affiliates or as necessary to carry out its duties under this Agreement without the other party’s prior written consent, provided that each party shall be allowed to disclose Confidential Information of the other party to the extent that such disclosure is approved in writing by such other party, or necessary to enforce its rights under this Agreement.

The recipient of the other Party’s Confidential Information shall take the same degree of care that it uses to protect its own confidential and proprietary information of a similar nature and importance (but in any event no less than reasonable care).
