Definition of Net Revenue. For purposes of this Agreement, Net Revenue means the invoice amount of sales of GSI Products to end users attributable to Leads or assistance provided by PKI, excluding fees for personal or field services, software upgrade or maintenance services, freight charges, tariffs, taxes or similar charges and net of all discounts, returns and allowances, for (A) an initial purchase and subsequent purchases by an account during the six-month period immediately following such initial purchase; and thereafter (B) any subsequent purchases by such account, for which PKI sales personnel were directly involved in obtaining such purchases.
Definition of Net Revenue. Net Revenue shall consist of all revenues recognized by PlanetCAD for the sale and licensing of IntraVision and Derivative Works thereof, including enterprise versions and ASP services offered directly or indirectly by PlanetCAD that incorporate, or are facilitated by or are based on IntraVision and/or Derivative Works thereof. Royalty payments to Spatial shall be based on a prorata share of the total price (if IntraVision is offered as a service or ASP or as a bundled product). Any discount on bundled products, services, ASPs or other products including IntraVision or Derivative Works as well as in IntraVision or Derivative Works sold as standalone products, shall be made pro rata to the other products in the same offer/bundle of software or services. Net Revenue shall be net of any applicable discounts and net of any commissions or fees paid to third party resellers, and less any other fees and charges invoiced by PlanetCAD to the customers, without deduction by PlanetCAD of any other costs or expenses related to achievement of the revenue, provided, however, that Net Revenue shall be reduced by the amount, if any, of (i) value-added taxes, (ii) sales taxes or (iii) withholding taxes imposed by any jurisdiction on payments made by a payor in such jurisdiction to a payee outside of such jurisdiction.

NET REVENUE" shall mean for this Agreement the sum remaining from any and all revenue, received by THANE, from the sale of all Product, during the Term of this Agreement, after the deduction for the following expenses incurred by THANE: (i) a reasonable amount to create and maintain a rolling reserve fund, initially at [*****]% of gross revenue but to be adjusted to reflect actual return rate when such becomes known; (ii) payment of all sales taxes; (iii) payment of all actual outbound and inbound fulfillment costs, including shipping fees, handling charges, and merchant account charges; (iv) payment of all gross media/advertising costs and advances against gross media/advertising costs, including standard media commissions paid to third parties and/or paid in-house depending on media buying and management services provided; (v) actual cost to refurbish return merchandise for resale; (vi) all product purchase and manufacturing costs; (vii) payment of all producer and talent royalties, if any; (viii) payment of all costs and expenses for viewing cassettes and broadcast dubs for television stations and cable networks; (ix) mutually agreed upon public relations fees and costs; (x) sales administration fee; (xi) payment for reasonable costs for development, production and distribution of Thane Materials and additional Thane collateral support materials including order forms, stick letters, and inquiry packages, if any; (xii) mutually agreed upon costs of Internet development; (xiii) actual credit card and non-credit card returns; (xiv) payment for foreign export, documentation and clearance costs; (xv) payment for retail commissions, ad allowances and other retail costs; and (xvi) payment for legal, travel and entertainment as mutually agreed upon.
