Definition of Dispute. Any controversy, claim, complaint, cause of action, or similar proceeding, whether based on statute, contract, common law, negligence, tort, misrepresentation, or any other legal theory, arising out of or relating to this Agreement or Employee’s employment with the Company (a “Dispute”), shall be resolved solely in accordance with the terms of this paragraph; provided, however, that the term Dispute shall not include Employee’s claims for workers’ compensation or unemployment compensation benefits (although any claim asserted under Ch. 451 of the Texas Labor Code shall be considered a Dispute subject to dispute resolution under this paragraph).

Definition of Dispute. For the purposes of this Section, a “Dispute” means the inability of the relevant Oversight Committee to obtain a majority vote on an issue arising under this Agreement within 120 days of its first recording in the official minutes of an Oversight Committee meeting.

Those covenants shall be enforceable by any court of competent jurisdiction, in accordance with paragraphs 8-10, and shall not be subject to mandatory mediation or mandatory arbitration under this paragraph 15. In addition, and notwithstanding any other provision of this Agreement, the mandatory arbitration requirement in this paragraph 15 shall not apply to any Dispute arising after the date hereof for which arbitration is prohibited by the Ending Forced Arbitration of Sexual Assault and Sexual Harassment Act or other applicable law.
