Dedication of Right of Way. Developer shall dedicate all necessary rights-of-way located within the boundaries of the Redevelopment Project Areas to City. To the extent the right-of-way is located outside the Redevelopment Area boundary and the CID boundary, the Developer shall acquire such right-of-way and dedicate it to MoDOT. Developer shall dedicate the real property necessary for construction of the Public Project Improvements to City at no cost to City. Developer shall convey, at no cost to City, the necessary rights of way located within the boundaries of the Redevelopment Project Areas to MoDOT and convey the real property necessary for construction of the Public Project Improvements to MoDOT. To the extent that Developer does not dedicate any portion of the Redevelopment Project Areas to MoDOT, Xxxxxxxxx agrees that any portion not dedicated to MoDOT shall, at the option of City, be conveyed to City (or such third party as City may approve) by Special Warranty Deed free and clear of all liens and encumbrances. Notwithstanding the foregoing, the Developer and the City recognize and agree that the CID will own title to all of property necessary for the Public Project Improvements within the boundaries of the CID. To the extent that the CID owns title to the property necessary for the Public Project Improvements, the CID will dedicate and convey such property and improvements to the City or MoDOT, as applicable, as provided in the CID Cooperative Agreement. More specifically, it is anticipated that the CID will dedicate to MoDOT the improvements within MoDOT right-of-way located south of the midline of 32nd Street at the intersection of 32nd Street and the realigned Xxxxxxx Boulevard, and that the Developer will dedicate to MoDOT the improvements within MoDOT right-of-way located (a) north of the midline of 32nd Street at the intersection of 32nd Street and the realigned Xxxxxxx Boulevard, (b) the intersection of 36th Street and Range Line Road.

Dedication of Right of Way. Except as provided in Sections 12.a. and 12.b. herein, Developer shall dedicate all necessary right of way located within the boundaries of the Redevelopment Area to the City and/or MoDOT at no cost for all portions of the Phase I Public Project Improvements and the Phase III Public Project Improvements. Notwithstanding the foregoing, City agrees that the TDD may purchase, from the Developer, for fair market value, the right-of-way along the northern boundary of Redevelopment Area - Project 1 which is necessary for the construction of a portion of the Phase III Public Project Improvements, or Developer may, with City approval, exchange said right-of-way with the City for all or a portion of the XXXXX Property which is located east of relocated XXXXX, so long as in no event shall the total compensation paid by the TDD for such right-of-way exceed the price paid to the City for the portion of the XXXXX Property which is located east of relocated XXXXX.

Dedication of Right of Way. Legends hereby agrees to dedicate to the City, from the Legends Parcel, the necessary right-of-way for the northeastern portion of Windsurfer Drive, as shown on Exhibit C as attached hereto and incorporated herein. Legends further agrees, in its role as master developer for the Legends Outlets, to arrange for PEDC to dedicate to the City, from the PEDC Parcel, the necessary right-of-way for the southeastern portion of Windsurfer Drive, as shown in Exhibit C. Legends also agrees to obtain and supply to City or City’s representative any and all construction easements on both the Legends’ Parcel and PEDC’s parcel that may be necessary for construction of the improvements to Windsurfer Drive.
