Cultivation Services. At Company’s direction, Service Company shall assist Company with the following aspects of Operations (i) development of proprietary, unique cannabis strains, which shall be licensed to the Company pursuant to that certain License Agreement by and between Company and Service Company dated as of even date herewith (the “License Agreement”), (ii) monitoring the cultivation calendar, (iii) summarizing growth performance, offering suggestions for optimal, continued growth and to troubleshoot any problems or concerns identified on-site (iii) assisting and instructing Company in the utilization and implementation of nutrients (iv) monitoring the facility daily, (v) maintenance and use of all equipment and software that will be utilized in any dispensary, cultivation or infused production facility,

Cultivation Services. Company shall (i) develop proprietary, unique cannabis strains, which shall be the property of NewCo and shall be licensed to the Company pursuant to that certain License Agreement by and between Company and NewCo, of even date herewith (the “License Agreement”), (ii) manage the cultivation calendar, (iii) summarize growth performance, provide for optimal continued growth and troubleshoot any problems or concerns identified on-site (iii) manage the utilization and implementation of nutrients (iv) monitor the facility daily, (v) assist with respect to all equipment and software that will be utilized in any dispensary, cultivation or infused production facility, (vi) manage grow room environments, plant nutrition, lighting, equipment and other matters related directly or indirectly thereto.

Related to Cultivation Services

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Engineering Services Definition: Engineering Services includes any service or creative work, the adequate performance of which requires education, training and experience in the application of special knowledge in consulting, investigating, evaluating, planning and designing, engineering principles. Engineering Services covered by the Xxxxxx Architect-Engineers Act (40 U.S.C. 1102) are not covered in the primary scope of OASIS SB. Examples: Service areas that are included under the Engineering Services discipline include, but are not limited to the following:

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.
