The Seller will execute and deliver financing statements relating to or covering the Contracts and related Receivables sold to the Purchaser (reasonably satisfactory in form and substance to the Purchaser) and the Seller will authorize the Purchaser and the Receivables Trust to file one or more financing statements relating to or covering the Contracts and related Receivables and the other property described in Section 2.1

Continuing Compliance with the Uniform Commercial Code. At the Seller’s expense perform all acts and execute all documents necessary or reasonably requested by the Purchaser or the Receivables Trust Trustee at any time to evidence, perfect, maintain and enforce the title or the security interest of the Purchaser or the Receivables Trust Trustee in the Receivables Trust and the priority thereof. The Seller will execute and deliver financing statements relating to or covering the Receivables Trust Certificate sold to the Purchaser (reasonably satisfactory in form and substance to the Purchaser).
Continuing Compliance with the Uniform Commercial Code. At its expense perform all acts and execute all documents reasonably requested by the Purchaser at any time to evidence, perfect, maintain and enforce the title or security interest of the Purchaser and/or the Owner Trustee in the Contracts and Related Rights and the priority thereof. The Seller will authorize and deliver financing statements covering the Contracts and Related Rights sold to the Purchaser (reasonably satisfactory in form and substance to the Purchaser) and the Seller will file one or more financing statements covering the Contracts and Related Rights. The Seller shall cause each Contract to be stamped in a conspicuous place and Records relating to the Contracts and Related Rights to be marked as specified in Paragraph 5(b)(ii) of Schedule II. The Seller shall deliver the Receivable Files related to each Contract to the Custodian; provided that while any Records are in custody of the Seller, the Seller will hold the same for the benefit of the Purchaser. The Seller will not file or authorize the filing of any effective financing statement (or similar statement or instrument of registration under the Laws of any jurisdiction) or statements relating to any Contracts and Related Rights, except any financing statements filed or to be filed covering the purchase of the Contracts and Related Rights by the Purchaser pursuant to this Agreement.

The Originator and the Initial Seller shall cause each Contract related to a Purchased Receivable to be stamped in a conspicuous place (other than with respect to Contracts purchased on the Initial Closing Date the originals of which have been copied on microfilm or optically scanned and destroyed), and Records relating to the Purchased Receivables to be marked, with a legend stating that it has been sold, assigned and transferred to the Purchaser; provided that, subject to the immediately preceding parenthetical, in the case of the Purchased Receivables purchased on the Initial Closing Date, the Originator and the Initial Seller shall cause each Contract related to such Purchased Receivables to be stamped on or prior to the date that is sixty (60) days after the Initial Closing Date. The Originator and the Initial Seller shall deliver the Receivable Files related to each Contract to the Custodian; provided that while any Records evidencing Purchased Receivables is in custody of the Originator or the Initial Seller, the Originator or the Initial Seller, as applicable, will hold the same for the benefit of the Purchaser. Neither the Originator nor the Initial Seller will execute any effective financing statement (or similar statement or instrument of registration under the laws of any jurisdiction) or statements relating to any Purchased Receivables, except any financing statements filed or to be filed in respect of and covering the purchase of the Purchased Receivables by the Purchaser pursuant to this Agreement and the security interest created in favor of the Trustee pursuant to the Indenture.

The Originator shall deliver the Receivable Files related to each Receivable to the Administrator upon request by the Purchaser or the Administrator; provided that while any Document is in custody of the -------- Originator, the Originator will hold the same for the benefit of the Purchaser. The Originator will not execute any effective financing statement (or similar statement or instrument of registration under the laws of any jurisdiction) or statements relating to any Purchased Assets, except any financing statements filed or to be filed in respect of and covering the purchase of the Purchased Assets by the Purchaser pursuant to this Agreement and the security interest created in favor of the Administrator pursuant to the Loan Agreement.
Continuing Compliance with the Uniform Commercial Code. The Originator shall, without limiting the requirements of SECTION 5.01(r), at its expense, preserve, continue, and maintain or cause to be preserved, continued, and maintained the Purchaser's valid and properly protected title to each Receivable purchased hereunder, including, without limitation, filing or recording Uniform Commercial Code financing statements in each relevant jurisdiction.

  • Security Agreement under Uniform Commercial Code (a) It is the intention of the parties hereto that this Mortgage shall constitute a Security Agreement within the meaning of the Uniform Commercial Code (the “Code”) of the State in which the Mortgaged Property is located. If Mortgagee shall elect to proceed under the Code, then ten days’ notice of sale of the personal property shall be deemed reasonable notice and the reasonable expenses of retaking, holding, preparing for sale, selling and the like incurred by Mortgagee shall include, but not be limited to, reasonable attorneys’ fees and legal expenses. At Mortgagee’s request, Mortgagor shall assemble the personal property and make it available to Mortgagee at a place designated by Mortgagee which is reasonably convenient to both parties.

  • Uniform Commercial Code Security Agreement This Deed of Trust is intended to be a security agreement pursuant to the Uniform Commercial Code, as in effect in the State of Washington, as amended or recodified from time to time (the “Uniform Commercial Code”) for any of the items specified above as part of the Collateral which, under applicable law, may be subject to a security interest pursuant to the Uniform Commercial Code, and Trustor hereby grants Beneficiary a security interest in said items. Trustor agrees that Beneficiary may file this Deed of Trust, or a reproduction thereof, in the real estate records or other appropriate index, as a financing statement for any of the items specified above as part of the Collateral. Trustor shall pay all costs of filing such financing statements and any extensions, renewals, amendments and releases thereof, and shall pay all reasonable costs and expenses of any record searches for financing statements Beneficiary may reasonably require. Without the prior written consent of Beneficiary, except as expressly provided in the Credit Agreement, Trustor shall not create or suffer to be created pursuant to the Uniform Commercial Code any other security interest in said items, including replacements and additions thereto. Upon a Default, Beneficiary shall have the remedies of a secured party under the Uniform Commercial Code and, at Beneficiary’s option, may also invoke the remedies provided herein or in any of and subject to the terms of the Loan Documents, or pursuant to any applicable law as to such items. In exercising any of said remedies, Beneficiary may proceed against the items of real property and any items of personal property specified above as part of the Collateral separately or together and in any order whatsoever, without in any way affecting the availability of Beneficiary’s remedies under the Uniform Commercial Code or of the remedies provided herein or in any of the Loan Documents. This Deed of Trust constitutes a fixture filing in accordance with the Washington Uniform Commercial Code (RCW 62A.9A-102(40)) as to all or any part of the Collateral which now or hereafter constitutes "Fixtures" under RCW 62A.9A-102(41).
