Consideration; Closing Sample Clauses
The 'Consideration; Closing' clause defines the obligations or payments (consideration) that must be exchanged between parties and specifies the procedures and timing for the formal completion of a transaction (closing). In practice, this clause outlines what each party must deliver—such as payment, documents, or assets—and sets the conditions that must be met before the transaction is finalized, often detailing the location, date, and method of closing. Its core function is to ensure that both parties clearly understand their responsibilities and the steps required to successfully complete the deal, thereby reducing the risk of misunderstandings or disputes at the final stage of the transaction.
