Each Eligible Member that does not deliver a Preemptive Election Notice to the Company prior to the expiration of the applicable Preemptive Election Period will be deemed to have irrevocably waived any and all of its rights under this Section 9.7 in respect of the issuance of Preemptive Securities described in the applicable Preemptive Rights Notice.
An Exchange Election Notice may be revoked by the Corporation at any time; provided, that any such revocation does not unreasonably prejudice the ability of the parties to consummate a Redemption or Direct Exchange on the Redemption Date.
The Corporation shall give written notice (the “Election Notice”) to the Company (with a copy to the applicable Redeeming Member) of such election within two (2) Business Days of receiving the Redemption Notice; provided, that if the Corporation does not timely deliver an Election Notice, the Corporation shall be deemed to have elected the Share Settlement method.
