Transfer Units definition

Transfer Units shall have the meaning set forth in Section 8.4(a).

Transfer Units means Common Units or vested Non-Voting Incentive Units, as applicable, owned by a Member, or issued to a Member after the date hereof (including, without limitation, in connection with any unit split, recapitalization, reorganization, or the like).

Examples of Transfer Units in a sentence

• In connection with any request to Transfer Units, the Partnership may require the Limited Partner requesting the Transfer to obtain, at the Limited Partner’s expense, an opinion of counsel selected by the General Partner as to such matters as the General Partner may reasonably request.

More Definitions of Transfer Units

Transfer Units means Common Units (other than Common Units converted from Preferred Units) and Incentive Units owned by a ROFR Subject, or issued to a ROFR Subject after the date hereof (including, without limitation, in connection with any unit split, recapitalization, reorganization, or the like).

Transfer Units means (i) in the case of a Voluntary Transfer subject to SECTION 7.3, the Units which are subject to the Voluntary Transfer and (ii) in the case of an Involuntary Transfer, the Units which are subject to the Involuntary Transfer.
