Claims and Reports. Seller has timely filed all claims and reports required to be filed by Seller related to the Business prior to the date hereof with respect to Third Party Payor Programs, all fiscal intermediaries and/or carriers, and other insurance carriers, and all such claims or reports are complete and accurate in all material respects and have been prepared in material compliance with all applicable contractual requirements and laws governing reimbursement and payment claims, and the Seller has in its possession and control all records and documentation necessary or required to support all such claims and reports. True and complete copies of all such claims data for the period beginning January 1, 2013 and ending on the date hereof, have been made available to Company. Seller has paid or caused to be paid all known and undisputed refunds, overpayments, discounts or adjustments which have become due pursuant to such reports and xxxxxxxx, has not claimed or received reimbursements from any Third Party Payor Program in excess of the amounts permitted by contract or applicable law, and, to the Knowledge of Seller, has no liability under any Third Party Payor Program for any refund, overpayment, discount or adjustment other than refunds, overpayments, discounts and adjustments that arise in the ordinary course of business consistent with the historical experience of the Centers. Except as set forth in Schedule 4.29, there are no pending appeals, overpayment determinations, adjustments challenges, audits, inquiries, litigation, or notices of intent to audit with respect to such prior reports and claims, and since January 1, 2010, neither Seller nor the Centers has been audited, surveyed or otherwise examined in connection with any Third Party Payor Program. Except for reports that are not yet due, there are no reports required to be filed by Seller in order to be paid under any Third Party Payor Program for services rendered by the Centers. Neither Seller nor any of its employees or contractors has presented or caused to be presented a claim for reimbursement to any third party payor that was (i) for an item or service that the claimant knew or should have known was not provided as claimed or (ii) for an item or service the claimant knew or should have known was not medically necessary.

Claims and Reports. Any failure in the execution of the contract must be contested by the tourist during the use of the package so that the organizer, his local representative or the escort can promptly remedy it. Otherwise, the compensation for damages will be reduced or excluded pursuant to article 1227 of the civil code. Without prejudice to the above obligation, the tourist can also file a complaint by sending a registered letter, with acknowledgment of receipt, to the organizer, no later than ten working days from the date of return to the place of departure.

Notwithstanding anything in this 60 Section 6.7 to the contrary, the Company and Parent shall use their respective commercially reasonable efforts to obtain any consents of third parties that are necessary to permit such access or make such disclosure and shall otherwise use commercially reasonable efforts to permit such access or disclosure, including pursuant to the use of “clean team” arrangements (on terms reasonably acceptable to the Company and Parent, as applicable) pursuant to which outside counsel of Parent or the Company, as applicable, could be provided access to any such information and pursuant to which such information shall not be disclosed by such outside counsel to directors, officers, employees or other Representatives of Parent or the Company, as applicable, without the prior consent of the other Party; provided that neither the Company nor Parent, as applicable, shall be required to incur any liability, take any action that would breach any Contract or applicable Law or otherwise jeopardize any privilege or protection in connection with the foregoing. All requests for information made pursuant to this Section 6.7 shall be directed to the general counsel or other Person designated by the Company or Parent, as applicable. All such information shall be governed by the terms of the Confidentiality Agreement.

  • Accounts and Reports The Company shall maintain a standard system of accounting in accordance with generally accepted accounting principles consistently applied and provide, at its sole expense, to the Secured Party the following:

The Trustees shall comply with United States federal withholding and backup withholding tax laws and information reporting requirements with respect to any payments to Securityholders under the Trust Securities.
