Auditing of Services. Maintenance Provider shall keep complete records and accounts from which may be determined the actual cost any Heavy Maintenance Check provided under this Agreement. Continental shall use commercially reasonable efforts to ensure that, provided Customer agrees to be subject to the same confidentiality provisions restrictions as are applicable to Continental under the agreements between Continental and the provider of Heavy Maintenance Checks, such records and accounts shall be open for inspection, examination, audit, and copying by the Designated Customer Representative, and other representatives of Customer, at all reasonable times and with reasonable notice for a period 180 days after invoice. If such records and accounts are not open to Customer for such inspection, examination, audit, and copying, upon reasonable request by Customer, Maintenance Provider agrees to exercise such rights as it may have under such agreements to provide Customer with reasonable assurances that any items as to which Customer has expressed a reasonable concern have been substantiated to the extent that Maintenance Provider is entitled to receive substantiation.

Auditing of Services. From time to time the MU shall carry out an audit of one or more of the services defined in Appendix A. The purposes of any such audit will be to assess the extent to which EDINA has met the specification for the service or services being audited and to suggest ways in which these services could be improved. Such audits will pay particular attention to the performance of EDINA with respect to the listed indicators. The audits will also take account of the budget available. The MU may be assisted, where necessary, by the appointment of independent experts. JISC may also request an audit of the methods and procedures used by EDINA to measure the values of the service level parameters defined for the services. The purpose of the audit will be to confirm the accuracy of XXXXX’s reports on the extent to which it has achieved the required levels of service. Eligible Organisations may ask the MU to instigate an investigation in cases where they have prima facie evidence that the service levels are not being met. Normally there will be no more than one audit per year. At least 10 working days notice shall be given of any such audit. The auditors shall have access to all reports described in section 4 (above) and to any material provided by EDINA to Eligible Organisations as part of the EDINA service provision. Auditors shall be allowed reasonable amounts of time to interview EDINA staff. EDINA will be given the opportunity to make comments to the auditor on a draft of the auditor’s report. A copy of the auditor’s final report shall be made available to EDINA within one month of its presentation to JISC. The costs to the MU of employing auditors and of expenses directly incurred by them shall be borne by the JISC.

  • Monitoring of Servicers (a) The Master Servicer shall be responsible for reporting to the Trustee, the Trust Administrator and the Depositor the compliance by each Servicer with its duties under the related Servicing Agreement. In the review of each Servicer’s activities, the Master Servicer may rely upon an officer’s certificate of the Servicer with regard to such Servicer’s compliance with the terms of its Servicing Agreement. In the event that the Master Servicer, in its judgment, determines that a Servicer should be terminated in accordance with its Servicing Agreement, or that a notice should be sent pursuant to such Servicing Agreement with respect to the occurrence of an event that, unless cured, would constitute grounds for such termination, the Master Servicer shall notify the Depositor, the Trust Administrator and the Trustee thereof and the Master Servicer shall issue such notice or take such other action as it deems appropriate.

In the review of the Servicer’s activities, the Master Servicer may rely upon an Officer’s Certificate of the Servicer with regard to the Servicer’s compliance with the terms of this Agreement. In the event that the Master Servicer, in its judgment, determines that the Servicer should be terminated in accordance with the terms hereof, or that a notice should be sent pursuant to the terms hereof with respect to the occurrence of an event that, unless cured, would constitute a Servicer Event of Default, the Master Servicer shall notify the Servicer, the Seller and the Indenture Trustee thereof and the Master Servicer shall issue such notice or take such other action as it deems appropriate.

  • Coordination, Oversight and Monitoring of Service Providers As set forth in the Administrative Services Agreement between the Fund and CRMC, CRMC shall coordinate, monitor and oversee the activities performed by the Service Providers with which AFS contracts. AFS shall monitor Service Providers’ provision of services including the delivery of Customer account statements and all Fund-related material, including summary prospectuses and/or prospectuses, shareholder reports, and proxies.

  • Statement of Services Service Attachments The services to be delivered by Provider (the “Services”) and the fees for those Services, and the specific terms applicable to those Services are described in the Order or in one or more Service Attachments referencing this Agreement. Except for Supplemental Services or Project Services (described below), and unless otherwise agreed in writing, the services we will deliver to you are limited to those Services specifically identified in the Order and described in the Service Attachments. In addition, if we determine that any additional services you request would be inappropriate for treatment as Supplemental Services under this paragraph, we may deliver to you a proposed Service Attachment for Project Services or a Proposal prior to providing Supplemental Services. Project Services In some cases, you may ask us to deliver services outside the scope of any Order or Service Attachment and inappropriate for treatment as Supplemental Services. Examples of such services include major system upgrades, new computer, machine or device setup, network changes, datacenter moves or setups, or installations. In those cases, we will prepare a separate Service Attachment for Project Services describing the proposed scope of those services and our fee to deliver them. Installation dates are estimates only. Customer shall be responsible for preparation and maintenance of the site for such Project Services or installations, including, but not limited to, providing necessary electrical power and communication lines and proper air conditioning and humidity control. FEES FOR SERVICES | PAYMENT TERMS Service Fees Fees for Services are set forth in Order or Statement of Work. Unless otherwise indicated in writing, all Services will be performed on a time-and-materials basis at Provider’s then-current rates.

  • Inspection of Services Subcontractor shall make the Services accessible at all reasonable times for inspection by the Contractor. Subcontractor shall, at the first opportunity, inspect all material and equipment delivered to the job site by others to be used or incorporated in the Subcontractor’s Services and give prompt notice of any defect therein. Subcontractor assumes full responsibility to protect the work done hereunder until final acceptance by the Contractor or any authorized third (3rd) party.

  • Transition of Services Upon request by the State prior to expiration or earlier termination of this Contract or any Services provided in this Contract, Contractor shall provide reasonable and necessary assistance to accomplish a complete transition of the Services from Contractor to the State or any replacement provider designated solely by the State without any interruption of or adverse impact on the Services. Contractor shall cooperate fully with the State or any successor provider and shall promptly take all steps required to assist in effecting a complete transition of the Services designated by the State. All services related to such transition shall be performed at no additional cost beyond what would be paid for the Services in this Contract.

  • Duration of Services The obligation of GGP to perform any individual Service described in or contemplated by this Section J shall terminate upon the earliest to occur of (a) 18 months following the Distribution Date, (b) five days following written notice of termination of such Services by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the Agreement. GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to (i) ensure that any terminated Service is integrated into Spinco’s broader business processes and/or (ii) complete any individual Service in this Section J requested by Spinco prior to the termination described in the prior sentence.
