Waiver of Liens. To the maximum extent permitted by law, Contractor waives, and shall require its suppliers and subcontractors of any tier to waive, all liens and claims, and the right to file and enforce or otherwise assert any liens and claims, against GRTC’s facilities or any other GRTC property (real or personal) in connection with the Goods delivered and Services performed hereunder.
Waiver of Liens. State Street, for itself, its employees, permitted Subcontractors and materialmen, hereby waives and relinquishes all right to file, have or maintain a mechanic’s or similar claim or lien against any property of any BTC Recipient or any part thereof for or on account of the work or any materials or Equipment furnished under the Service Modules. State Street will not create or permit to be created or remain, any lien, encumbrance or charges levied on account of any mechanics’ lien or claim, which may become a lien, encumbrance or charge upon any of the property of any BTC Recipient or any part thereof. For avoidance of doubt, the foregoing shall not waive or preclude the grant of any lien or security interest provided under any Service Module with respect to custody services and related extensions of credit.
Waiver of Liens. Seller hereby waives and relinquishes all liens and claims, statutory or otherwise, which Seller now has or may hereafter have as a result of labor done and material furnished by Seller in performance of this Purchase Order.
Waiver of Liens. Upon receipt of this order and as consideration in the payment sum, Seller hereby expressly waives and releases (i) any and all rights in or claims of mechanics or other liens in connection with this order, (ii) any and all rights against any labor, services, material (including part or product), payment, or performance hereunder, furnished through the date of delivery and (iii) any and all claims for additional compensation of any kind and excepting those rights, liens and claims that Seller might have in any undisputed amounts, on account of labor or materials, or both. Seller agrees to promptly furnish or cause to be furnished to Buyer, on Buyer’s request, a waiver or waivers of such liens in a form acceptable to Buyer.
Waiver of Liens. Where permitted by law, Seller waives any lien or other rights that Seller might otherwise have on or in any of the goods for work performed on, or utilizing, such goods or otherwise. Further, Seller hereby agrees that it will promptly release any and all liens that it may have on any property of the Buyer or the Buyer’s customer (whether or not such property is in Seller’s possession) and, upon Xxxxx’s request, provide Buyer with written confirmation that all such liens have been waived or released.
Waiver of Liens. No lien, encumbrance or priority in favor of the Trustee against the assets of the Trust will affect such assets or their proceeds after such assets or proceeds have been distributed or paid to Unit Holders or to the Distribution Agent on their behalf pursuant to the terms of the Indenture and upon any such distribution any lien, encumbrance or priority previously attaching to such assets or their proceeds shall without any further action on the part of the Trustee be automatically thereupon released and relinquished by the Trustee.
Waiver of Liens. Provider shall not have any power or authority to assign, hypothecate, pledge, or otherwise dispose of any Property of a BFA Recipient in Provider’s “control” (within the meaning of UCC Sections 8-106, 9-104 or 9-106), except pursuant to Proper Instructions from a BFA Recipient or as may be agreed to by the Parties from time to time, and the Property shall not be subject to any lien or charge of any kind in favor of Provider or any person claiming through Provider, except as may be agreed to by the Parties from time to time. Provider, for itself, its employees, permitted Subcontractors and materialmen, hereby waives and relinquishes all right to file, have or maintain a mechanic’s or similar claim or lien against any property of any BFA Recipient or any part thereof for or on account of the work or any materials or equipment furnished hereunder. Except as may be agreed to by the Parties from time to time, Provider will not create or permit to be created or remain any lien, encumbrance or charges levied on account of any mechanic’s lien or claim that may become a lien, encumbrance or charge upon any of the Property of any BFA Recipient or any part thereof.
Waiver of Liens. Contractor for itself and for all its sub-suppliers and subcontractors, agrees that no mechanic’s lien or other claim shall be filed or maintained by Contractor or by any sub-supplier, subcontractor, laborer or any other person, whatsoever, against the Park District’s funds for or on account of any Work furnished under this Agreement. Prior to the payment of the Work, Contractor shall provide: a) for final payment, a final waiver of lien from Contractor and each sub-supplier and sub-contractor for the full amount of each subcontract for the Work, showing all materials and labor have been paid in full; and b) sworn affidavit, in triplicate, containing such information and in such form to comply with the Illinois Mechanics Lien Act (770 ILCS 60/23 ), showing in detail the sources of all labor and materials used in the Work, including the names and addresses of sub-suppliers and subcontractors and showing amounts paid for each. Final payment shall not become due until the Contractor has fully performed the Work in accordance with the Contract Documents, including but not limited to delivery of all manufacturer’s and supplier’s warranties, and has delivered to the Park District a complete release of all liens arising out of this Agreement or receipts in full covering all labor, materials and equipment for which a lien could be filed, or a bond satisfactory to the Park District to indemnify the Park District against such lien. If a lien remains unsatisfied after payments are made, the Contractor shall refund to the Park District all money that the Park District may be compelled to pay in discharging such lien, including costs and reasonable attorneys’ fees.
Waiver of Liens. SUPPLIER confirms that its entry into this Purchase Order is based solely upon the credit of BUYER and not based upon the credit on any of the vessels or other property owned or operated by BUYER, its subsidiaries, affiliates, and/or brands. SUPPLIER expressly waives any right to any lien (maritime or otherwise), and agrees that it, its parent, subsidiaries, affiliates, and related companies, and the owners, officers, directors, employees, agents, and subcontractors thereof, shall neither assert, prosecute, or execute a lien on, initiate or pursue any actions in rem against, or otherwise encumber or take action that may affect title to (collectively, “encumbrance”), any vessel or other property owned or operated by BUYER, its subsidiaries, affiliates, or related companies any matter arising from, related to, or in connection with this Purchase Order, including under the Xxxxx Act, and expressly waives any lien it might otherwise have had on any such vessel or other property. SUPPLIER agrees to defend, indemnify, and hold the Indemnified Party harmless from, and immediately (i) remove any lien or encumbrance, (ii) remedy any lien or encumbrance, or (iii) secure the release of any vessel or property from arrest, attachment, or seizure that may arise in conjunction with any such liens waived or prohibited by this Section 23. SUPPLIER agrees to obtain the same waiver of lien, and express waiver of reliance on the credit of any vessel set forth herein from any subcontractor used by SUPPLIER in connection with this Purchase Order.
Waiver of Liens. As a condition precedent to the making of the final Payment Schedule payment by Company hereunder, Contractor shall be required, upon request by Company, to supply Company with a waiver and release of liens and security interests to the extent of such payment in the form attached as Exhibit J, duly executed by Contractor.
