Assistance in Legal Actions. In any case of criminal complaint or civil suit by third parties as a result of action taken by the employee while properly performing his/her duties, the District shall and the Association may render all reasonable assistance to the employee in connection with the handling of the incident by law enforcement and judicial authorities, and the District will, upon request, provide legal counsel.
Assistance in Legal Actions. In the event Apache is or becomes involved in any legal action relating to events which occurred while Employee was rendering services to Apache or about which Employee possesses any information, Employee agrees to assist, subject to Employee’s “reasonable availability”, in the preparation, prosecution or defense of any case involving Apache, including without limitation, executing truthful declarations or documents or providing information requested by Apache and attending and/or testifying truthfully at deposition or at trial without the necessity of a subpoena or compensation. All reasonable travel expenses incurred by you in rendering such assistance will be reimbursed by Apache. Employee’s compliance with the obligations of this paragraph shall not interfere with his future employment or enterprise, and shall not be so extensive or intrusive that Employee incurs economic damage as a result of his compliance.

In the event the Company is or becomes involved in any legal action relating to events which occurred while you were rendering services to the Company or about which you possess any information, you agree to assist, subject to your “reasonable availability”, in the preparation, prosecution or defense of any case involving the Company, including without limitation, executing truthful declarations or documents or providing information requested by the Company and attending and/or testifying truthfully at deposition or at trial without the necessity of a subpoena or compensation. Assistance in Legal Actions. Employee agrees that, upon request by Apache, Employee will assist Apache in the preparation, prosecution or defense of any claims or potential claims that may be made or threatened to be made against Apache and/or any member of the Apache Parties in any action, suit, or proceeding, whether civil, criminal, administrative, investigative or otherwise with respect to an event or occurrence during Employee’s term of employment (a “Proceeding’), and will assist Apache in the prosecution of any claims that may be made by Apache and/or any member of Released Parties in any Proceeding. Such assistance will include, without limitation, executing truthful declarations or providing information in his possession or recollection requested by Apache and attending and/or testifying truthfully at deposition or at trial without the necessity of a subpoena or compensation. Employee also agrees, unless precluded by law, to promptly inform Apache if Employee is asked to assist in any investigation (whether governmental or otherwise) of Apache and/or any member of Released Parties regardless of whether a lawsuit has been filed against Apache and/or any members of Released Parties with respect to such investigation. Employee agrees to fully and completely cooperate with any investigations conducted by or on behalf of Apache and any member of Released Parties. Apache agrees to reimburse Employee for all reasonable out-of-pocket expenses associated with such assistance, including travel expenses, and agrees to indemnify Employee for all costs and liabilities (including without limitation, legal fees) the same as though Employee were still an executive officer of Apache to the fullest extent permitted by Delaware law for such an executive officer.

In the event the Company is or becomes involved in any legal action relating to events which occurred or alleged to have occurred while Xxxxxx was rendering services to the Company or about which Xxxxxx possesses any information, Xxxxxx agrees to assist in the preparation, prosecution or defense of any case involving the Company, including, without limitation, executing truthful declarations or documents or providing information requested by the Company and attending and/or testifying truthfully at deposition(s) or at trial without the necessity of a subpoena.
Assistance in Legal Actions. In the event Apache is or becomes involved in any legal action relating to events which occurred while Employee was rendering services to Apache or about which Employee possesses any information, Employee agrees to assist, subject to Employee’s “reasonable availability”, which includes not being required to be available if being available would unduly interfere with Employee’s future employment or enterprise in the preparation, prosecution or defense of any case involving Apache, including without limitation, executing truthful declarations or documents or providing information requested by Apache and attending and/or testifying truthfully at deposition or at trial without the necessity of a subpoena or compensation. All reasonable travel, legal and other expenses incurred by you in rendering such assistance will be reimbursed by Apache. If any required assistance pursuant to this paragraph results in Employee losing income, Apache shall reimburse Employee for such loss.

In the event the Company is or becomes involved in any legal action relating to events which occurred or alleged to have occurred while you were rending services to the Company or about which you possess any information, you agree to assist in the preparation, prosecution or defense of any case involving the Company including, without limitation, executing truthful declarations or documents or providing information requested by the Company and attending and/or testifying truthfully at deposition(s) or at trial without the necessity of a subpoena. The Company shall compensate you for any out-of-pocket expenses you incur performing your obligation to cooperate with the Company under this paragraph. The Company shall also compensate you for all time spent fulfilling your obligation to cooperate under this paragraph, at the same hourly pay rate in effect as of your last day of work at the Company.

In the event the Company is or becomes involved in any legal action relating to events which occurred or are alleged to have occurred while Gold-Lxxxxx was rendering services to the Company or about which Gold-Lxxxxx possesses any information, Gold-Lxxxxx agrees to assist in the preparation, prosecution or defense of any case involving the Company, including, without limitation, executing truthful declarations or documents or providing information requested by the Company and attending and/or testifying truthfully at deposition(s) or at trial without the necessity of a subpoena. Notwithstanding the above, the obligations under this Paragraph shall be null and void with regard to any action in which Gold-Lxxxxx and the Company have filed claims against one another, in which case the provisions of the California Code of Civil Procedure shall apply.

In the event the Company is or becomes involved in any legal action relating to events which occurred or alleged to have occurred while Lesser was rendering services to the Company or about which Lesser possesses any information, Lesser agrees to assist in the preparation, prosecution or defense of any case involving the Company, including, without limitation, executing truthful declarations or documents or providing information requested by the Company and attending and/or testifying truthfully at deposition(s) or at trial without the necessity of a subpoena. To the extent Lesser is requested to provide assistance in legal actions following the completion of the Consulting Period, he shall be entitled to receive reasonable compensation for his time spent and expenses incurred in providing such services, in each case as reasonably and mutually agreed upon by the parties.
