Assigned Trademarks. Purchaser shall be responsible, at its sole cost and expense, for preparing, recording and registering in the United States Patent and Trademark Office the Trademark Assignment and all other assignments, documents or filings that may be necessary to record the transfer of the Assigned Trademarks to Purchaser. At the request of Purchaser, Seller shall use its reasonable efforts to assist Purchaser in performing its obligations under this Section 7.4.
Assigned Trademarks. To the knowledge of Sellers: (a) the Assigned Trademarks as currently used in the Rio Business do not infringe the registered trademarks of any Person in any material respect; and (b) no Person is infringing any Assigned Trademark in any material respect. Sellers are the sole owner of all of the Assigned Trademarks, free and clear of any Encumbrances except for the security interest held by Salus (which will be released at Closing). To the Knowledge of Sellers, no Person other than Sellers and Rio has asserted any ownership rights in the Assigned Trademarks.

Assigned Trademarks. Notwithstanding the foregoing sentence if, after the Separation Date, it is found that the Assigned Technology, Licensed Technology and the Licensed Materials do not include certain Technology used before the Separation Date and intended for use by Roxio in the day to day conduct of its business as contemplated in this Agreement or in the Ancillary Agreements, and such Technology is not otherwise provided to Roxio under the Ancillary Agreements, Adaptec will provide Roxio such Technology under the assignments and licenses granted in this Agreement to the extent it is able to do so, but only to the extent such Technology is reasonably necessary for Roxio to accomplish such day to day operation of its business. Such Technology will be provided after good faith discussion of the subject between Adaptec and Roxio.
