Adequacy of Technical Documentation. The Technical Documentation includes the source code, system documentation, statements of principles of operation and schematics for all of the Intellectual Property, as well as any pertinent commentary or explanation, including any commentary contained in any source code, that may be necessary to Seller’s Knowledge, to render such materials understandable to Buyer and, with respect to any Software, usable by a trained computer programmer.

The Technical Documentation for the Software Tools includes the source code, system documentation, statements of principles of operation, and schematics for all Software Tools, as well as any pertinent commentary or explanation that may be necessary to render such materials understandable and usable by a trained computer programmer. The technical documentation of the Software Programs (the "Technical Documentation") includes the source code (with comments, if any) for all Software Programs as listed on Section 2.13 of the TAVA Disclosure Schedule. The Technical Documentation also includes any programs (including compilers), "workbenches," tools and higher level (or "proprietary") languages necessary for the development, maintenance and implementation of the Software Programs.
