Common use of Adequacy of Technical Documentation Clause in Contracts

Adequacy of Technical Documentation. The Technical Documentation includes the source code, system documentation, statements of principles of operation and schematics for all of the Intellectual Property, as well as any pertinent commentary or explanation, including any commentary contained in any source code, that may be necessary to Seller’s Knowledge, to render such materials understandable to Buyer and, with respect to any Software, usable by a trained computer programmer.

Adequacy of Technical Documentation. The Technical Documentation includes the source code, system documentation, statements of principles of operation and schematics functional specifications for all of the Intellectual Property, as well as any pertinent commentary or explanation, including any commentary contained in any source code, that may be necessary to Seller’s Knowledge, to render such materials understandable to Buyer and, with respect to any Software, usable by a trained computer programmer.

Adequacy of Technical Documentation. The Technical Documentation includes the source code, system documentation, statements of principles of operation and schematics for all of the Intellectual Property, as well as any pertinent commentary or explanation, including any commentary contained in any source code, that may be necessary to Seller’s Knowledge, to render such materials understandable to Buyer and, with respect to any Software, usable by a trained computer programmer. Nothing in this Section 6.14(k) shall require or impose an obligation upon the Company to provide any source code on its Software to Buyer.

The Technical Documentation also includes any programs (including compilers), with respect to any Software"workbenches," tools and higher level (or "proprietary") languages necessary for the development, usable by a trained computer programmermaintenance and implementation of the Software Programs.

The Technical Documentation also includes any program (including compilers), "workbenches," tools, and higher level (or "proprietary") language used for the development, maintenance, and implementation of the Software Program.
