Weighted Average Sale Price definition

Weighted Average Sale Price means the arithmetic average of the division of the total of the sale prices of identical property (or such multiple of the property as is referable to sale prices) by the number of those items the subject of sales over the 5 Trading Days (excluding special crossing, option exercises and overseas sales (including New Zealand Stock Exchange Sales)) immediately following the Expiry Date.
Weighted Average Sale Price and “reasonably estimated commercial value,” as the case may be, for a Product and Other Products shall be calculated once at the commencement of each Calendar Year and such amount shall be used during all applicable royalty reporting periods for the entire following Calendar Year. When determining the weighted average sale price of a Product or Other Products, the weighted average sale price shall be calculated by dividing the Net Sales (translated into U.S. dollars in accordance with Section 4.4.5 hereof) by the units of active ingredient sold during the [***] ([***]) [***] (or the number of [***]) of the preceding Calendar Year for the respective Product or Other Products. “Reasonably estimated commercial value” shall be determined by agreement of the Parties using criteria to be mutually agreed upon by the Parties. Weighted Average Sale Price shall be determined on the applicable determination dates set forth above on the basis of the weighted average sale price of the Buyer's Common Stock on the principal stock exchange, or the National Association of Securities Dealers' Automated Quotation National Market System ("NASDAQ/NMS"), as the case may be, on which such Common Stock is then listed or admitted to trading, (ii) if the Common Stock is not then listed or admitted to trading on any stock exchange or the NASDAQ/NMS, as the case may be, the average of the last reported closing bid and asked prices on such day in the over-the-counter market, as furnished by the NASDAQ system or the National Quotation Bureau, Inc., (iii) if neither NASDAQ, or the National Quotation Bureau is at the time engaged in the business of reporting such prices, then as furnished by any similar firm then engaged in such business, or (iv) if there is no such firm, as furnished by any member of the National Association of Securities Dealers ("NASD") selected by the Buyer, with the consent of the Buyer (which consent shall not be unreasonably refused or delayed), and which is not an Affiliate of the Buyer.

If the Company and the Holder are unable to agree upon the fair market value of such security, then such dispute shall be resolved in accordance with the procedures in Section 13.
