Average Trading Price definition

Average Trading Price means, with respect to any period, the average of the Market Prices on the last trading day of each full or partial calendar quarter included within such period.
Average Trading Price means the average of the closing prices per share of the Parent Common Stock on the Nasdaq National Market (or such United States exchange on which the Parent Common Stock is then listed) for the aggregate of ten (10) trading days ending on the day which is two (2) days immediately preceding the Closing Date.
Average Trading Price shall have the meaning set forth in Section 2.1(a).

Average Trading Price means the average of the Market Prices on the last trading day of each full or partial calendar quarter covered by an Election Period; provided, however, that with respect to the Election Period beginning on July 29, 2003, “Average Trading Price” shall mean the average of the Market Price on November 7, 2003 and the Market Price on the last trading day of the last full or partial calendar quarter covered by that Election Period.
