TSMC Facilities definition

TSMC Facilities means the TSMC physical manufacturing and managed facilities located at Fab 3 in Hsin-chu, Fab 8 in Hsin-chu, and such other facilities owned or controlled by TSMC as may be qualified by IDT (and specifically approved by IDT in writing) to produce Wafers for IDT.

Examples of TSMC Facilities in a sentence

  • IDT may send its employees or customers, who have executed a non-disclosure agreement related to site visits specified in this Section, at any time upon at least seven (7) days prior written notice and according to the schedules and agenda as mutually agreed upon by the parties to visit TSMC Facilities to inspect fabrication of Wafers and conduct other activities contemplated by this Agreement.

  • IDT will deliver to TSMC the IDT Process Technology to be implemented at the TSMC Facilities in accordance with the provisions of the Transfer Plan.

  • IDT will have the right to audit the TSMC Facilities upon at least seven (7) days prior written notice during normal business hours of the applicable TSMC Facility, subject to the requirements of this Section 7.1.

  • With respect to 0.18 micron and below IDT Manufacturing Process Technologies that are transferred to TSMC Facilities, TSMC will create new masks at IDT’s expense.

  • Both IDT and TSMC will contribute necessary technical resources and personnel for successfully implementing the Transfer Plan and incorporating the IDT Process Technology, as modified per the Transfer Plan, at the TSMC Facilities within the applicable schedule set forth in the Transfer Plan.

  • Public facilities means amenities that are—

  • New Facilities means facilities for which, by the cut-off date, neither of the following events has occurred:

  • Production Facilities (7 9) means "production equipment" and specially designed software therefor integrated into installations for "development" or for one or more phases of "production".

  • Electric Facility means a Generator or an electric transmission facility.

  • Wastewater facilities means the structures, equipment, and processes required to collect, carry away, and treat domestic and industrial wastes and dispose of the effluent.

  • L/C Facility means the letter of credit facility established pursuant to Article III.

  • Idle facilities means completely unused facilities that are excess to the governmental unit's current needs.

  • Other Facilities means athletic stadiums, swimming pools, any associated structures or related equipment tied to such facilities including, but not limited to, grandstands and night field lights, greenhouses, facilities used for non-instructional or non-educational purposes, and any structure, building, or facility used solely for school administration;

  • Common Facilities means the facilities under D.G.sets/D.G.rooms, water storage tanks its pumping and supply system, sewerage & drainage systems, electric sub-station/ transformers/electric panels/distribution network, maintenance service rooms, lawns including lighting & services etc., roads, pathways & driveways including street lighting & services etc., guard posts, fire hydrants & fire fighting system etc. and all such facilities and areas for common use and excluded from the computation of Super Area of the Said Premises;

  • Facilities means any and all real property (including all buildings, fixtures or other improvements located thereon) now, hereafter or heretofore owned, leased, operated or used by Holdings or any of its Subsidiaries or any of their respective predecessors or Affiliates.

  • Interconnection Facilities means the Transmission Owner Interconnection Facilities and the Customer Interconnection Facilities.

  • Bank Facilities means any overdraft limits or credit facility available to you and their associated terms;

  • Existing Facilities means all existing buildings and other facilities, the sites for the buildings or facilities, and furnishings or equipment for the buildings or facilities located on real property acquired by the building authority under the terms of this act.

  • Railroad facilities means right of way and related

  • Project Facilities means the facilities, equipment and vehicles provided under the Project;

  • Generating Facility means the Generating Unit(s) comprising Seller’s power plant, as more particularly described in Section 1.02 and Exhibit B, including all other materials, equipment, systems, structures, features and improvements necessary to produce electric energy and thermal energy, excluding the Site, land rights and interests in land.

  • Related facilities means any ancillary facilities owned by the Company which are —

  • Parking Facilities means parking lots or other off-street areas for the parking of vehicles, including areas below or above the surface of streets.

  • Manufacturing Facilities means facilities engaged in the mechanical or chemical transformation of materials or substances into new products and shall include:

  • Authorized Facilities means the public facilities authorized to be financed, in whole or in part, by the CFD.

  • Recreational Facilities means spas, saunas, steam baths, swimming pools, exercise, entertainment, athletic, playground or other similar equipment and associated accessories.

  • Generation Interconnection Facilities Study means a Facilities Study related to a Generation Interconnection Request.

  • Transmission Facilities shall have the meaning set forth in the Operating Agreement. Transmission Injection Rights:

  • Shared Facilities means the gentie lines, transformers, substations, or other equipment, permits, contract rights and obligations, and other assets and property (real or personal), in each case, as necessary to enable delivery of energy from Seller’s electric generating facility (which is excluded from this definition of Shared Facilities) to the Point of Interconnection that are used in common with other entities, as applicable.
