Transferred Lithium Employee definition

Transferred Lithium Employee means any individual who (a) did not become a Lithium Employee effective on or before the Separation Effective Time and (b) Parent and the Company mutually agree following the Separation Effective Time should have his or her employment transferred from the Parent Group to the Lithium Group.

Transferred Lithium Employee means any individual who (a) did not become a Lithium Employee effective on or before the Separation Effective Time and (b) Parent and the Company mutually agree following the Separation Effective Time should have his or her employment transferred from the Parent Group to the Lithium Group. “UK Pension Plan” means the FMC Chemicals Pension Plan (together with all obligations related thereto, including obligations associated with the winding-up of such plan). For the avoidance of doubt, the UK Pension Plan is a Lithium Plan. “Unbanked Parent PRSU” means any Parent PRSU (or portion thereof) for which the applicable performance period has not been completed as of the applicable date of determination. “UK DC Plan” has the meaning set forth in Section 5.02(a) hereto. “U.S. Lithium Employee” means any Lithium Employee who is employed (or, in the case of former employees, last actively employed) in the United States. “U.S. Lithium Participant” means any Lithium Participant employed or engaged (or, in the case of former employees, individual independent contractors or consultants, last actively employed or engaged, as applicable) in the United States.

Examples of Transferred Lithium Employee in a sentence

  • For the avoidance of doubt, each Transferred Lithium Employee shall be deemed to be a “Lithium Employee” for all purposes of the Agreement following the applicable date of transfer of his or her employment from the Parent Group to the Lithium Group.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • Company Employee means any current or former employee, independent contractor or director of the Company or any Company Affiliate.

  • SpinCo Employee means any individual who, as of the Effective Time, is employed by or will be employed by Spinco or any member of the Spinco Group, including active employees and employees on vacation and approved leave of absence (including maternity, paternity, family, sick leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, short- or long-term disability leave, leave under the Family Medical Leave Act and other approved leave).

  • Continuing Employee has the meaning set forth in Section 6.7(a).

  • Company Service Provider means a Company Employee, a Company Independent Contractor or a member of the Company Board.

  • Contract employee means a probationary faculty employee or a grant- funded employee hired on a year-to-year basis in accordance with Education Code 87470.

  • Owner-Employee means a Self-Employed Individual who is a partner and owns more than 10% of either the capital or profits interest of the partnership.

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • Ongoing employee means an employee who has been employed for at least one complete standard measurement period.

  • Replacement employee is an employee specifically engaged to replace an employee proceeding on parental leave.

  • Transfer Time has the meaning set forth in Section 4.3(a).

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Former Employee means an individual who has severed employment with the Employer or an Affiliated Employer.

  • RemainCo shall have the meaning set forth in the Preamble.

  • Parent Employee means any current or former director, officer, manager or employee of Parent or any Parent Subsidiary.

  • Affected employee means an employee who would be affected by the grant or denial of a variance, or any one of the employee’s authorized representatives, such as the collective bargaining agent.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.
