Tax Event Redemption Amount definition

Tax Event Redemption Amount in relation to a Certificate, means 100 per cent. of its outstanding face amount together with any Outstanding Payments;
Tax Event Redemption Amount means (A) if “Specified Redemption Amount” is specified in the applicable Final Terms, an amount per Calculation Amount being the product of the Specified Fixed Percentage Rate and the Calculation Amount provided that the Specified Fixed Percentage Rate will not, in any case, be less than 100 per cent., (B) if “Par Redemption” is specified in the applicable Final Terms, an amount per Calculation Amount equal to 100 per cent. per Calculation Amount, or (C) if “Amortised Face Amount” is specified in the applicable Final Terms, an amount calculated in accordance with Condition 3(b) above.
Tax Event Redemption Amount means either (i) if the Tax Event Redemption Date occurs prior to a Successful Initial Remarketing, or, in the event of a Failed Initial Remarketing, prior to the Warrant Settlement Date, the aggregate principal amount of the Notes which are components of Equity Units on the Tax Event Redemption Date or (ii) if the Tax Event Redemption Date occurs on or after a Successful Initial Remarketing or, in the event of a Failed Initial Remarketing, on or after the Warrant Settlement Date, the aggregate principal amount of Notes outstanding on such Tax Event Redemption Date.

  • If a Tax Event Redemption has occurred following the Warrant Settlement Date, the Securities Intermediary shall distribute the Tax Event Redemption Amount to the Warrant Agent for distribution to the Holders of the Equity Units.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.
