Following the close of each calendar year, the Company will determine whether Executive has earned the Annual Bonus, and the amount of any Annual Bonus (which can be less than the Target Percentage), based on the set criteria.
If the Committee determines that the applicable Bonus Metrics have been achieved at or above a “threshold” level with respect to the applicable performance year, then, based on the level of such achievement, the Executive shall be entitled to receive payment of the applicable Cash Bonus (which may be less than, equal to, or greater than the Target Percentage based on the level of performance achieved and the terms of the Annual Bonus Plan).
The Compensation Committee shall be entitled to amend or supplement the Incentive Plan, the award formula, and the Target Percentage from time to time.
The Company shall pay to the Executive a lump sum cash payment equal to: (x) the product of (i) the Executive's highest annual base salary in effect during the one (1) year period preceding the Executive's Date of Termination divided by twelve (12) and (ii) the Executive's Target Percentage (determined as of the Date of Termination), multiplied by (y) the number of months (including fractions thereof) elapsed from the first day of the Termination Year to the Date of Termination.
