Audits performed pursuant to this Section 18.01 shall not be performed by a Supplier Competitor.

Notwithstanding any other provision of this Agreement, an Other Service Recipient may not without the Supplier’s prior consent (which may be withheld for any reason) be a Supplier Competitor, provided, however, that the foregoing restriction will in no way limit Supplier’s obligations under this Agreement with respect to Other Service Providers.
Use of any third party auditor that is a Supplier Competitor, shall be subject to Supplier’s prior written approval, such approval not to be unreasonably withheld or delayed.
If the Parties do not agree within 15 days on a replacement Benchmarker, LS&Co. shall designate the Benchmarker in its sole discretion, provided that such Benchmarker shall not be a Supplier Competitor.
The Benchmarker engaged by CoreLogic shall be one of the approved Benchmarkers set forth on Schedule 15 or, to the extent agreed by the Parties, another nationally recognized independent (i.e., not an affiliate of a Direct Supplier Competitor) firm with experience in benchmarking similar services; provided, that in either case, the Benchmarker (i) shall not be retained on a contingent fee basis and (ii) shall execute a non-disclosure agreement substantially in the form attached hereto as Annex 2.
In the event that Michaels disputes the results of a customer satisfaction survey, Michaels may, at its expense, engage a third party unaffiliated with Michaels and that is not a Supplier Competitor to conduct another customer satisfaction survey in accordance with Section 10.1, and the results of such survey shall be binding on the Parties.
