Subscriber Warranties definition

Subscriber Warranties means the warranties and representations given by each Subscriber pursuant to Clause 6 and Schedule 3 and “Subscriber Warranty” means any one of them

  • The Subscriber gives the Subscriber Warranties to and for the benefit of the Company.

More Definitions of Subscriber Warranties

Subscriber Warranties means the representations and warranties set out in clause 9.3. Subscription Amount means $12,174,000, being the amount calculated by multiplying the number of Subscription Shares by the Subscription Price. Subscription Options means 202,900,000 options to acquire Shares with an exercise price of $0.07 each and an expiry date of 10 August 2025 on the terms set out in Attachment A. Subscription Price means A$0.06 for each Subscription Share. Subscription Shares means 202,900,000 Shares issued under this agreement at the Subscription Price. Subsidiary has the meaning given to that term in the Corporations Act. Takeover Bid has the meaning given in the Corporations Act and includes a proportional takeover bid. Warranties means the Issuer Warranties and the Subscriber Warranties.
Subscriber Warranties means the warranties set out in Schedule 8. Subscribers means CHAMP III Australia, CHAMP III SWF, CHAMP III Singapore and CHAMP III Cayman. Subscription Price means:
Subscriber Warranties means the representations, warranties, undertakings and other obligations of the Subscriber in this Agreement, including the warranties set out in Schedule 2;
Subscriber Warranties means the representations and warranties given by the Subscriber to the Issuer as set out in Part B of Schedule 2; Subscriber’s Proportion means, at any time, the proportion (expressed as a percentage) the Ordinary Shares held by the Subscriber (and or its nominee, if any, nominated in accordance with clause 9.2(b)) in aggregate represent of the total number of Ordinary Shares listed on the NZX at that time; Subscription Date means the date of this Agreement;

Subscriber Warranties shall have the meaning ascribed to the term in Clause 9.1.
