Examples of Subscribers in a sentence
The Subscriber acknowledges that the Fund has not been and will not be registered as an investment company under the Investment Company Act, and that Shares in the Fund may be purchased only by Subscribers who are “qualified purchasers” as defined in Section 2(a)(51) of the Investment Company Act and the related rules thereunder (each a “Qualified Purchaser”).
Notwithstanding the foregoing, the Subscribers or their designees or Permitted Transferees may not exercise their demand registration rights after five (5) years from the commencement of sales in the Company’s initial public offering, and may not exercise its demand rights on more than one occasion.
Notwithstanding anything herein to the contrary, the Subscribers or their designees or Permitted Transferees may not exercise their rights under Sections 2.1 and 2.2 hereunder after five (5) and seven (7) years from the commencement of sales in the Company’s initial public offering, respectively.
The Company agrees to use commercially reasonable efforts to enter into an indemnification agreement in customary form, in favor of Odyssey Transfer & Trust Company (or any successor transfer agent or warrant agent of the Company) in connection with the waiver of any requirement to provide a medallion guarantee in connection with any Transfer of any equity securities of the Company by the Sponsor, the Subscribers or any of their Permitted Transferees.
