Fundamental Representations and Warranties definition

Fundamental Representations and Warranties means the representations and warranties contained in Sections 3.1, 3.2, 3.6, 4.1 and 4.3.
Fundamental Representations and Warranties has the meaning set forth in Section 8.1.

  • The representations and warranties of the Parties contained herein and all covenants contained herein that are to be performed prior to the Closing will survive for twelve (12) months following the Closing; provided, however, the Fundamental Representations and Warranties shall survive the Closing until the date that is thirty (30) days following the expiration of the applicable statute of limitations.

Fundamental Representations and Warranties means the representations and warranties in Sections 5.1, 5.2, 5.3, 5.4, 5.18, 6.1, 6.2, 6.3 and 6.4 of this Agreement.
