Service Provider License means a license that permits the Customer to utilize the Licensed Software as a "service provider" to provide secure data communication or data processing services to third parties. As examples only of whether a Customer is using the Licensed Software as a service provider: (i) a situation in which a Customer and its Affiliates use the Licensed Software to operate an exchange or marketplace in which the Customer and its Affiliates' trading partners interact with the Customer and the Affiliates shall be deemed internal use and not service provider use; (ii) a situation in which a Customer uses the Licensed Software to operate an exchange or marketplace to transact business with its trading partners shall be deemed internal use and not service provider use, whether or not the Customer charges a fee; (iii) a situation in which a Customer uses the Licensed Software to operate an exchange or marketplace which allows its trading partners to transact business with one another shall be deemed service provider use, whether or not the Customer charges a fee; (iv) a situation in which Customer uses the Licensed Software to operate an exchange or marketplace both for transacting business with its trading partners and allowing trading partners to transact business amongst themselves, whether or not the Customer charges a fee (i.e. a hybrid of (i) and (ii)), shall be deemed service provider use only (that is, a separate internal use license would not be required), and the Customer would be considered as one of the trading partners; and (v) a situation in which the Customer uses the Licensed Software to host applications for clients where the clients upload their business data to Customer for processing, and the Customer processes the clients' business data and provides reports and analysis to the clients (i.e. a typical outsourcer or application service provider model), shall be deemed service provider use. For the purposes of clause (i) above, "Affiliates" shall mean all current and future business entities that, directly or indirectly, control, are controlled by, or are under common control with a Customer. As used herein, "control" shall mean the ownership or control of fifty percent (50%) or more of the shares of the subject entity which entitle the holder to vote at a meeting of such entity.
