Each Minority Series B Stockholder shall have the option to opt out (the "Opt Out Right") of the redemption by providing to the Company written notice of his or its intention to exercise such Opt Out Right within ten (10) days after receipt of the Opt-Out Redemption Notice.
Each Series B Stockholder has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of an investment in the Exchange Shares, has independently evaluated the merits of the Exchange and has made an informed, independent investment decision with respect thereto.
